🔹 Generative AI in Litigation: Privilege, Work Product, and Protective Orders 🔹

With United States v. Heppner holding that client use of consumer AI destroys attorney-client privilege, and an emerging doctrinal split across Warner v. Gilbarco, Tremblay/Concord Music, and Morgan v. V2X over work-product protection for AI prompts and outputs, attorneys face an entirely new discovery battleground where a single ChatGPT query can waive privilege overnight. This CLE equips litigators to draft AI-specific protective orders, preserve discoverable prompts and outputs, advise clients on enterprise versus consumer platform selection, and close the represented-client exposure gap before privilege is destroyed.

👤 Speakers:
Alicia M. Hawley | K&L Gates LLP
Jason Loring | Jones Walker LLP
Eric B. Evans | Perkins Coie LLP
David A. Sergenian | Sergenian Law LLP

Key Topics Include:
âś… Rule 26(b)(3) and Hickman v. Taylor applied to AI prompts, outputs, and platform metadata
âś… The Warner, Tremblay, and Morgan split on work-product protection of AI inputs and outputs
âś… Privilege waiver after United States v. Heppner, Kovel doctrine limits, and AI-specific protective order drafting

🔹 Drafting AI Provisions in Commercial Contracts: Beyond the SaaS Template 🔹

The SaaS contract was built for software that responds, not software that acts—and unmodified SaaS templates now leave clients exposed on every axis that matters in an AI deal: agentic performance, IP and training data provenance, output ownership, and a live regulatory stack spanning the EU AI Act, Colorado AI Act, federal model risk guidance, and FDA AI oversight. This drafting-forward CLE delivers working contract language for AI-specific service levels, accuracy and fitness-for-purpose warranties, model-drift triggers, BPO-style delegation clauses, training data reps and indemnities, tiered output ownership, and penalty-calibrated compliance allocation—equipping attorneys to negotiate AI agreements as the distinct contract type they have become.

👤 Speakers:
Harsh*ta K. Ganesh | CMBG3 Law
Tyler J. Thompson | Reed Smith LLP
Talia Boiangin | Reed Smith LLP

Key Topics Include:
âś… Drafting agentic AI service levels, accuracy thresholds, model-drift SLA triggers, and remediation frameworks
âś… Why SaaS contracting architecture fails for AI products and the hybrid SaaS/BPO model
âś… IP allocation, training data reps and indemnities, tiered output ownership, and EU AI Act / Colorado AI Act compliance allocation
âś… And more!

âś… Duty of technological competence and ABA Formal Opinion 512 on generative AI

🔹 Engineering Expert Reports or Testimony for Impact Claims that are Defensible, Reliable and Compliant 🔹

With 76% of construction projects finishing behind schedule in 2025 and only 12% of baseline schedules meeting best-practice quality standards, construction disputes increasingly hinge on whether engineering experts can defensibly link facts to opinions under the amended Rule 702. This CLE equips construction attorneys to vet, prepare, and defend engineering experts on delay, disruption, and damages claims—mastering CPM analysis, the Measured Mile, industry standards for methodological transparency, and the evidentiary foundations needed to survive Daubert challenges and cross-examination.

Gregory M. Bergman | BDG Law Group
Charlene L. Podlipna | Freeman & Mills, Inc
Eugene G. Ashley | Hoge Fenton Jones & Appel
Pete Patterson | Pete Fowler Construction Services, Inc
Daniel E. Kass | Delve Underground

🔹 How to Startup a Real Estate Fund: Legal and Tax Strategies for Small Business Success 🔹

With $151 billion raised by closed-end real estate funds in 2025—the strongest fundraising year since 2021—plus 34,000+ Regulation D offerings, $2.3 trillion in private capital raised, and the SEC extracting $2 billion in penalties from fund advisers, attorneys advising sponsors face soaring opportunity alongside unprecedented compliance risk. This CLE equips practitioners to navigate the full real estate fund lifecycle—from PPM drafting and partnership tax structuring to investor compliance, operational diligence, and risk management—so they can confidently launch and operate funds while shielding sponsors from costly missteps.

🔹 Counseling Clients on Expatriation: Advising U.S. Citizens, Green Card Holders, and Their Beneficiaries 🔹

Renouncing U.S. citizenship or abandoning a green card no longer ends a client's exposure to the U.S. tax system—it shifts the liability forward to the next generation, with the §2801 final regulations now imposing a 40% succession tax on every covered gift or bequest received by a U.S. beneficiary, with no lookback limit and no fix once the donor is gone. With roughly 5,000 Americans expatriating each year, the §877A mark-to-market exit tax ensnaring clients who never thought of themselves as wealthy, and willful FBAR penalties reaching $165,353 per violation, this CLE delivers the doctrinal map across Sections 877A and 2801, the renunciation and Form I-407 procedures, and the Form 8854, W-8 CE, and Form 708 mechanics—equipping attorneys to identify covered expatriates, structure pre-expatriation gifts and non-grantor trusts, and protect U.S. heirs from inheritance liability they did not see coming.

👤 Speakers:
Alan Winston Granwell | Holland & Knight
Michael J.A. Karlin | Holland & Knight
Linda Rahal | Trow & Rahal
Rosy Lor | BDO USA
W. Aaron Hawthorne | Hawthorne Global Tax

Key Topics Include:
âś… Renunciation, relinquishment, Form I-407, and the eight-of-fifteen-year test for long-term residents
✅ §877A mark-to-market exit tax, covered expatriate tests, and pre-expatriation gifting strategies
✅ §2801 succession tax on covered gifts and bequests, Form 708 compliance, and non-grantor trust planning

🔹 Chapter 11 Under Fire: Bad Faith Filings, Motions to Dismiss Under § 1112(b), and Strategic Litigation in an Era of Heightened Judicial Scrutiny 🔹

In the wake of LTL Management, NRA, and intensifying judicial skepticism of "Texas Two-Step" mass tort filings, Chapter 11 attorneys now face the most rigorous scrutiny of debtor good faith in decades—where a single venue misstep or strategic filing can result in dismissal, sanctions, and trustee appointment. This CLE equips bankruptcy litigators on both sides of the docket to prove or defeat "cause" under § 1112(b), leverage emerging circuit splits, navigate post-LTL financial distress analysis, and apply balanced creditor- and debtor-side strategies in contested dismissal proceedings.

👤 Speakers:
Judith K. Fitzgerald | Tucker Arensberg, P.C.
Beverly Weiss Manne | Tucker Arensberg, P.C.

Key Topics Include:
âś… Totality-of-the-circumstances tests, burden-shifting, and post-LTL financial distress analysis

🔹 Advanced Estate Planning with S Corporations: Tax Structuring, Trust Design, and Succession Strategies for Closely Held Business Owners 🔹

For closely held business owners, a single drafting misstep or missed post-death election deadline can terminate an S corporation election permanently—wiping out decades of tax planning and exposing counsel to significant malpractice liability. This CLE equips estate planning, corporate, and tax attorneys to structure S corporation interests within trusts, navigate QSST and ESBT elections, coordinate buy-sell agreements with estate instruments, and execute the post-death compliance steps that preserve the S election and protect generational family ownership.
