La mayoría de los dueños de negocios no piensan en sus contratos hasta que ya tienen un comprador, y para ese momento, tu arrendamiento, tus licencias o un contrato con un proveedor pueden retrasar o arruinar la venta.

Antes de listar tu negocio, necesitas saber tres cosas:

→ Qué contratos requieren consentimiento para transferirse

→ Si tienes cláusulas de cambio de control — estas son diferentes a las cláusulas de cesión y muchos dueños no las identifican

→ Cuándo vence tu arrendamiento — un contrato que vence en medio de la transacción le da al comprador razón para retirarse o renegociar

Most business sellers don’t think about their contracts until a buyer is already at the table, and by then, your lease, your licenses, or a vendor agreement can stall or kill the deal entirely.

Before you list your business, you need to know three things:

→ Which contracts require consent to transfer

→ Whether you have change-of-control clauses — these are different from assignment clauses and sellers miss them constantly

→ When your lease expires — a lease ending mid-transaction gives buyers leverage to walk or renegotiate

Catching this before you list gives you options. Catching it at closing gives you a problem.
