We recently notified our business clients regarding the requirements for reporting information to the Financial Crimes Enforcement Network (FinCEN) in accordance with the Corporate Transparency Act (CTA). The deadline to do so was January 1, 2025, and the penalties for non-compliance are steep.

However, in an exciting turn of events (lawyers love last minute wrenches), an injunction recently went into effect preventing the government from enforcing the reporting requirements of the CTA, and on December 6, 2024, FinCEN suspended reporting while the injunction remains in effect. But reporting companies should stay attuned to further developments. If the nationwide injunction is dissolved or stayed, then reporting companies may have to comply with the CTA and the Regulations on very short notice.
