Just an FYI that today is the day that The State of New Hampshire Corporate Division is running the Administrative Dissolution and Administrative Suspension Notices. These notices are inactivating businesses who have failed to pay their annual reports (Domestic LLCs and corporations for 2022 and 2023) (Foreign entities for 2023). Customers that have Business Notification Email addresses in their system are receiving these notices via email today. All entities will receive the notice sent to the business mailing address on file by First Class U.S. Mail within the next 2 weeks.

This job places an event on the business profile that changes the status of the business to Administratively Dissolved Name Protected or Administratively Suspended Name Protected. The business names for these companies are protected for 120 days, and no Tax Clearance letter is required to reinstate if filed before 12/30/2023.

Concord Search & Retrieval, Inc. can assist in reinstating your business promptly. After 12/30/2023 the process will be much more difficult.(requiring DRA Tax Clearance)

New UCC Forms Available-

The International Association of Commercial Administrators (IACA) has approved and issued new forms for UCC filing and search requests. The forms are notated with the revision date of 7/2/2023 and are available for download on the IACA website.

Effective immediately, the New Hampshire Secretary of State’s Office will accept the new forms, as well as continue to accept forms in current use with the 4/12/11 revision date.

Notice: IACA has promulgated changes to five UCC filing forms. To prevent confusion, the revision date has been changed on all forms. Final versions of all forms have been posted as of June 7, 2023. Please contact your jurisdiction’s filing office to determine which forms they will accept.

The 2023 Annual Report filing season has begun and customers can now file the 2023 Annual Report both in paper format and online using Quickstart.

The Annual Report form has been changed this year removing the option for the customer to change the registered agent on the report without incurring the statutory fee. If a customer wishes to change the registered agent they will be required to file a Form 10 with the required $15.00 filing fee. This has been updated on both the paper form when generated and the online version on Quickstart. Form 10 has also been updated to reflect this change. This change will allow the Division to process registered agent changes more quickly, as well as reduce rejections of annual reports that may cause businesses to inadvertently fall out of good standing.

WSD (State vendor) is currently running the job that will generate the reminder notices and send out the emails if the customer has elected to receive their reminder notices via email. These events and notices should be generated in the coming days but the customers can still file as usual if they wish. Only customers that do not have a Business Notification Email address on file with receive their reminder notice by US Mail during the month of January.

In regards to Reinstatements. The 120 day name protection after Administrative Dissolution/Suspension has now expired for entities dissolved/suspended on 9/1/2022. The business name for a Reinstatement will be rechecked for availability when the application is received. Reinstatements will also now require the Good Standing Tax Clearance Letter from the Department of Revenue.

For any companies dissolved on 9/1/2022 for failure to file the 2022 annual report in NH the reinstatement documents are due on or before 120 days. After 120 days the name protection ends and additional documents may be required.(DRA Tax Cert)
