This week, we pause to recognize hashtag , and we have been thinking about something we see often when working with owners of scaling and future-focused businesses:

Most people don’t start a business thinking about legal structure, contracts, or risk. They start with a great idea, a strong work ethic, and a willingness to figure things out as they go. And that works… until it doesn’t.

Most founders believe their company owns its code. Many are wrong.

Under U.S. copyright law, the author owns the work unless there is a valid, written agreement transferring ownership. If a contractor wrote your core software and there is no clear ownership agreement, ownership may not belong to the company.

That issue often stays invisible until:
- Fundraising diligence
- Acquisition discussions
- Enterprise customer negotiations

At that point, “We thought we owned it” is not enough.

IP ownership in a startup is not an academic issue. It is a growth issue.

If you are scaling and have relied on contractors, vendors, or early collaborators, it may be time to confirm that your intellectual property ownership structure matches your assumptions.

Spring cleaning isn’t just for your baseboards at home or the desk in your office. It’s also a good time to take a look at the legal side of your business. When I talk with business owners, it’s common to hear:

“We have something in place… I think.”

That “something” is often:

- An old contract that hasn’t been reviewed in years
- A template pulled from online
- An agreement that no longer reflects how the business operates

As your business grows, your needs evolve, too. And in order to scale without risk, you need to ensure your foundation is set properly and ready for what comes next.
