Lexington is home. The fiduciary breaches we see aren’t always the work of someone who set out to steal. That is the part people find hardest to believe.
Far more often it starts as a short-term decision made by someone who fully intended to put the money back. A partner covers a personal obligation out of the business account. A trustee uses estate funds ahead of the distribution. The intention to repay is frequently sincere, and it does not help them, because the duty was to hold the money for a specific purpose rather than to treat it as a personal line of credit.

The second thing worth knowing is that carelessness is enough. A fiduciary who is disorganized, who commingles funds, or who is simply not doing the work can breach the duty without ever taking a dollar. The claim looks at the conduct and the loss, not at the motive behind it.

For anyone advising a client who holds somebody else’s money in any capacity, that is the conversation worth having early. The standard is higher than many people in those roles understand it to be.

When money goes missing from a business, an estate, or a trust account, the first instinct is to ask whether what happened was illegal. That is usually the wrong first question.

The more useful question is whether the person holding the money owed a fiduciary duty, because that duty is what turns a troubling decision into a claim someone can actually bring. It is also a considerably higher standard than many people in those roles realize they are being held to. Under a contract, each side is entitled to look after itself. A fiduciary cannot.
