Our friends at Office Evolution Cedar Rapids do a fantastic job of handling our mail, providing a conference room, and giving us a space for clients and others to securely drop off documents.

They are staffed between 9:00 a.m. and 3:00 p.m. M-F; however, please keep in mind that people get sick, have emergencies, need to take phone calls or use the restroom, so there may be times when the office is not staffed. If that's the case, there is a bin on the front desk with a sign with our logo where clients can drop off (or pick up) documents - or slide them under the door to office 112. The staff will make sure they are held securely for us!

If you do drop something off that we were not expecting, please email Melissa at [email protected]. (Please don't email me expecting an immediate response, as I am often in court, traveling to court, in meetings, or drafting documents to meet a deadline - so I may not see an email right away). If there is something urgent, please call our office and Melissa - or our back up phone receptionist will be happy to assist!

As tax season winds down, a reminder about cyber-security.

Email is a postcard, not a sealed letter. When you hit send on an unencrypted email, your message can pass through multiple servers before it reaches the recipient — any of which could log it, copy it, or be breached. Once it's out there, you don't control who sees it. You message sit on backup systems you don't control, or land in an inbox shared with a spouse, family member, or employer. If a third party can access what you sent, you may have unintentionally waived the privilege that was protecting it.

As a tax preparer, the IRS requires I have a Written Internet Security Plan in place to protect clients' confidential information; although I pay for cybersecurity insurance, I also pay for systems that allow clients and others to send me information in a secure manner.

For anything confidential — Financial account numbers, Social Security numbers, confidential details— unencrypted email is the wrong channel. Full stop.

A few safer habits:
→ Use our secure client portal for documents with any confidential protected information. There is a link to our ShareFile portal in our email signature lines and on our website. There is no charge to the client to use this portal and it is simple to use
→ Enable encryption on your email provider (most major ones offer it; you just have to turn it on)
→ Password-protect sensitive PDF attachments and send the password through a separate channel
→ Avoid using an employer email address for your private personal matters; your employer may have a legal right to read your email; also avoid using a shared family email address.

The extra thirty seconds it takes to send something securely is always cheaper than a data breach, a cyber-insurance claim, or a call from the Attorney Disciplinary Board and Grievance Commission.

If you wouldn't write it on a postcard, don't send it in a regular email. When in doubt whether you should send something in an email, just ask!

Friends, while I always appreciate your referrals, I will no longer be practicing in the courts of the First Judicial District (Black Hawk, Buchanan, Fayette, Grundy, Chickasaw, Howard, Winneshiek, Allamakee, Clayton, Delaware and Dubuque Counties). This position would include phone receptionist duties, performing intakes for new clients, managing our court filings and client files, and some document drafting for the attorney. This can be a part-time or full-time position.

Securing our clients' private information is important to our office. While we utilize a number of software applications so we can maximize our efficiency, they are all vetted for their security. In addition, we implement controls such as requiring secure, unique passwords, implementing two-factor authentication and utilizing VPNs, and carry cyber-security coverage which provides training for our team.

We utilize encrypted email via Trustifi and deliver documents securely through Sharefile. We also have a secure client portal available to clients through our practice management program.

Our physical office has white noise machines so conversations are confidential.

We don't share private information, even to our clients, over unsecure methods, such as Facebook Messenger or texting apps. Please don't be offended if we ask that you email us or use our client portal instead.

BOIR Update: the US Department of Treasury has announced it is suspending enforcement of the Corporate Transparency Act and the requirement for most companies and non-profits to file a Beneficial Ownership Information Report (BOIR) as to US Citizens or domestic reporting companies.

There will still be new rules put in place to require reporting for foreign non-citizens and foreign reporting companies. Those will be issued in the future.

Attention Small Business Owners! Biennial Report with the Iowa Secretary of State filing for LLCs and Nonprofit companies are due by April 1, 2025. Failure to file your Biennial Report can result in your LLC or Nonprofit being dissolved.

There is a filing fee for the Biennial Reports of $30.00 if submitted through the Secretary of State's Office (and $45.00 if submitted on paper) for LLCs; there is no charge for Nonprofits. Our office charges a nominal flat fee for existing clients to perform this service.

Notices will be sent to your registered agent in early January. If you have questions about who your registered agent is, please reach out!

(This is different than the BOIR submission for the Federal Government, which is now stayed).

Business Owners (including Non-Profit Associations): A lot of news this week on the Corporate Transparency Act (CTA) /Beneficial Ownership Information Reporting (BOIR) this week. This is new legislation enacted this year requiring small business to report information about owners and stakeholders in small businesses.

After some litigation and potential legislation delaying the reporting requirements, an appellate court has said that the reporting requirements must continue. That means that if you have not filed your BOIR as a business owner (unless you meet one of the exceptions), you must meet the deadline to report.

The deadlines have been extended:
- Entities existing before January 1, 2024 have until January 13, 2025;
- Entities created between September 4, 2024 that have a December 3, 2024 deadline have until January 13, 2025 (extending the 30 day deadline);
- Entities created between December 3, 2024 and December 23, 2024 have an additional 21 days (so entities created yesterday- December 23 - have until February 12).

Every election year, Iowa attorneys are invited to evaluate the judges before whom they appear. The results are then compiled and are made available to the public prior to the election. You can see the results here: https://www.iowacourts.gov/announcements/information-about-iowa-judges-and-the-2024-judicial-retention

Iowa Judges are selected by a committee, who then recommends two or three nominees to the governor, who then appoint the new judge from the finalists. Judges are then up for a retention vote by the public periodically.

Iowa voters can find information about the professional qualifications and background of every judge standing for retention in the November 5 general election on the Iowa Judicial Branch website.
