Gina focuses her practice on business and commercial matters, real estate transactions, and employee compensation issues. Her business experience includes entity formation and start-up issues, corporate governance, charitable organization laws, stockholder agreements, mergers and acquisitions, asset and stock sales, commercial finance, creditors’ rights, corporate reorganizations and restructuring
, and joint ventures agreements. On the real estate side, she counsels clients with purchase and sale transactions, land use and zoning matters, and mineral rights issues. She handles various aspects of IRC §1031 like-kind exchanges, delayed exchanges, complex parking transactions, and serving as the Qualified Intermediary or Exchange Accommodation Titleholder. She guides business clients and individuals with their pension and deferred compensation plans and related tax issues, with particular focus on nonqualified deferred compensation arrangements and key employee incentives. Richardson advises healthcare organizations and healthcare professionals in certain areas of health law, including the Stark Law and the Anti-Kickback Statute. Other areas of her practice include estate planning and business succession planning, intellectual property law, government law, and appellate law.
