Effective January 1, 2024, the Corporate Transparency Act will require certain companies to file a report with the Department of Treasury’s Financial Crimes Enforcement Network (FinCEN) containing personal identifying information about beneficial owners and applicants. The CTA is aimed at protecting the US financial system from being used for money laundering and other illicit activities. From what we now know, it requires entities to file a beneficial ownership information report with the FinCEN and provides that the information will be kept in a private database, where access will be limited mainly to government law enforcement agencies. This reporting requirement will be for domestic limited liability companies, limited liability partnerships, and corporations, no matter how small. Failure to register may carry civil and criminal penalties. Currently existing companies will also be required to file by that date. Reporting must include information about each beneficial owner and applicant, including full name, date of birth, current residential address, and photo identification. This registration requirement will affect many of my clients and business owners. Additionally, reporting requirements must include information about the individual who directly files a document that creates a domestic reporting company. Essentially, this includes lawyers who file documents for clients creating such entities. The American Bar Association had previously expressed concerns about the Act in that the reporting would impose burdensome and intrusive regulations on millions of small businesses and their lawyers. I stand with the opinion of the ABA. I have, until now, provided legal services to my regular clients that included forming entities in conjunction with other legal matters. As a result of these new reporting requirements, and the burden it imposes on my office to register each time, I have decided that I will no longer be providing this service. Naturally, we will talk about options and I will assist in finding an agency who will provide these services for you.

Many of my clients ask me if they should have a Will and the answer is always, undoubtedly, yes. A person who dies without a Will is considered to have died “intestate” and their estate is then distributed in accordance with NY intestacy laws and may not necessarily be consistent with their wishes. In addition to ensuring proper asset distribution, a will can appoint a guardian to care for minor children after death. Having a will as part of a comprehensive estate plan can also help a person avoid paying estate taxes. You can always make modifications to a Will over time and as circumstances change but it always prudent to have one.

A new bill before the NYC Council would require coop boards to provide applicants with a written notice of rejection which includes the basis for such rejection. The written sworn statement would have to identify each element of the purchase application that the board had deemed deficient and provide the source of any negative information that was relied on. Failure to comply could result in fines of up to $25k. Members of the coop community are pushing back on the proposed bill with concerns that the bill is designed to discourage boards from rejecting applicants and that the associated fines are both “punitive” and “outrageous.”

Excellent resource by and a frequently asked question by clients. While a traditional home inspection of a coop apartment isn’t customary, or necessary in my professional opinion, some of my clients opt to have one done anyway and that is perfectly ok. On the other hand, it is far more important to me, and it is my practice to conduct a thorough review of the cooperative financials AND review of the more recent recorded minutes (typically the last two years) of any meetings held by the cooperative board. In fact, this is a non-negotiable for me. A diligent review of these minutes (and follow-up questionnaire) give us insight as to how the building is managed and what, if any, potential concerns my clients should have about buying and living in the building. Remember, the board is considering you and your financials when approving your coop application. Buyers should be equally discerning of the coop they are buying into.
