📢 New BMK Blog Post: Deadlock in Closely Held Companies 📢

Our new blog post addresses shareholder deadlock, a situation where business owners or directors in closely held companies cannot agree on key decisions, stalling operations. It covers several core topics:

Causes. Deadlocks commonly arise from equal ownership splits, poorly drafted governance documents, diverging business goals, and personal conflicts among founders or partners.

Consequences. Unresolved deadlocks can delay transactions, increase costs, damage the company's reputation, and threaten long-term viability.

Resolution options. The article outlines several approaches, ranging from negotiation and mediation to appointing a neutral director or invoking a deadlock resolution clause. When internal solutions fail, courts may intervene, potentially ordering dissolution or equitable relief under Massachusetts law (M.G.L. c. 156D, § 14.30).
