The City of Boston has officially adopted new regulations opening the door for certain beer and wine license holders to upgrade to all-alcohol licenses.

On January 8, the Boston Licensing Board established the framework for how these upgrades will work, covering everything from the application process and community review to transferability, public need, and what happens if an upgraded license is later downgraded or no longer in use.

With these rules now in effect, eligible restaurants and hospitality businesses have a clear, immediate path to expand their beverage programs while preserving Boston’s longstanding regulatory structure.

A business sale is rarely as straightforward as it looks on paper.

In the latest episode of Transaction Talk, hosts Eric Sigman and Jennifer Fox are joined by Steven Hanson, owner and partner at Transworld Business Advisors, to unpack what really happens when deals hit turbulence, including nervous employees, unexpected bank decisions, shifting valuations, and deal fatigue.

With more than a decade of experience guiding confidential business sales, franchise growth, and M&A transactions, Steven shares practical, real-world insights, including:

➡️ Why every deal has ups and downs (and why that’s normal)
➡️ How employees often represent the biggest source of risk in a transaction
➡️ Why the true value of a business lies in its people and relationships, not just assets
➡️ How to pivot when bank feedback or valuations change late in the process
➡️ What “deal fatigue” looks like and how to manage it effectively

If you’re buying, selling, or advising on a business transaction, this episode offers candid lessons on preparation, flexibility, and staying calm when tensions run high.

In the news: RIW’s Adam Gutbezahl was recently quoted in Massachusetts Lawyers Weekly on the Appeals Court’s decision in Filzer v. Pitsick.

The case arose from a dispute between a Newton home builder and abutters after zoning permits were revoked. Although the parties reached a settlement while the matter was pending in Land Court, they failed to inform the court. When the Land Court later issued a decision, the builder attempted to walk away from the settlement, arguing it was impossible to perform.

Commenting on the case, Adam noted that there is no rational reason to withhold notice of a settlement from the court. “I just can’t fathom a situation where you would want to conceal from the court that you’ve entered into a settlement agreement that would resolve the issue,” he said. “Especially in the Land Court, which has such finite resources and so many cases.”
