WE ARE HIRING AND NEED YOUR HELP! - SENIOR CORPORATE ATTORNEY

SUMMARY

We are looking for a senior corporate transactional attorney with at least 6 years law firm experience in M&A, Finance and Securities. Position will carry a lot of responsibility, so successful candidate must be able to lead and manage a transaction start to finish with minimal supervision, including drafting and negotiating everything from entity formation and joint ventures, to more complex financing and commercial transactions, securities offerings, and mergers and acquisitions.

KNOWLEDGE REQUIRED

• Must be able to work and lead autonomously on commercial and transactional projects with minimal supervision.

• Familiarity with a wide variety of transaction types (e.g., share purchase, asset purchase, divestment, joint venture, convertible debt, SAFEs, securities offerings, etc.).

• Ability to work independently.

• Excellent commercial judgment enabling consideration of legal requests in a commercial, constructive, and business-sympathetic way, balancing business needs with legal risk.

• Be comfortable with understanding and negotiating commercial and non-legal issues (including price adjustment mechanisms, environmental liabilities, etc.) as well as purely legal corporate issues.

• Ability to present succinct, accurate and pragmatic advice, especially to distill complex technical concepts into business terms.

• Must be able to work on multiple projects under pressure, tight deadlines and to manage the expectations of clients.

• The successful candidate must be a disciplined legal drafter/writer and possess a problem-solving, “can do” orientation with a demonstrated ability to simplify complex situations.
