On July 16, 2021, Colorado enacted the nation’s third comprehensive consumer privacy law, after Governor Jared Polis signed Senate Bill 21-190 into law. Colorado’s Privacy Act gives consumers the right to opt-out of data processing for the use of targeted advertising and the sale of personal data. Let’s talk about the word shall in contracts. Even though shall has been used for generations as a word to create a mandatory obligation, the word actually contains layers of ambiguity. Shall can be interpreted to mean must, may, will or even should. The use of shall can take parties down the long and arduous path of litigation.

The next time you are reviewing a contract, keep your eyes out for the word shall, and see if something more definitive can be used.
