Sounds like Adam in the garden of Eden who blamed his wife (even though he was standing right beside her). It’s a sin as old as time.

A scam targeting landowners appears to be happening in the Austin area. The scammers are called 'title pirates' and are targeting landowners.

As the great Ron Burgundy put it, this is "kind of a big deal." Starting in 2024, business owners will be required to report beneficial ownership information to the US Treasury.

A "beneficial owner" is any individual who, directly or indirectly, either (1) exercises substantial control over company, or (2) owns or controls at least 25% of the ownership interests.

If you're one of my TABC/TTB clients, you're already somewhat used to this type of reporting.

For my (non-TABC) business clients: (i) develop internal policies and procedures to assess reporting obligations, identify beneficial owners, etc.; (ii) develop policies and procedures to monitor changes to reporting status or beneficial ownership on an ongoing basis to avoid potential penalties; and (iii) ensure target companies in M&As have fulfilled their reporting obligations. This is a new risk area to consider during due diligence.

Apparently, there is a $500/day penalty for non-compliance.

A final rule implementing the beneficial ownership information reporting requirements of the Corporate Transparency Act (CTA) was issued in September 2022. These regulations go into effect on January 1, 2024. Beneficial ownership information will not be accepted prior to January 1, 2024.
