Most small business owners don't think about trademarks until someone else uses what they've built.

Here's the reality: registering your LLC or getting a DBA does not protect your brand name. Those are two completely different things.

A federal trademark gives you exclusive rights to use your mark nationwide in your industry, and the legal muscle to stop competitors from using the same or similar mark. Without one, you could spend years building your brand, only to get a cease-and-desist from someone who decided to register it first.

Here's something most people don't realize: hiring a lawyer doesn't mean you're signing up for a courtroom battle.

The vast majority of personal injury cases settle before trial. In fact, going to court is the exception, not the rule. A good attorney's job is to build a strong enough case that the other side comes to the table with a fair offer — no jury required.

1. Automatic Renewals. Look for language like "unless terminated in writing 30 days prior." Miss that window and you could be locked in for another year.

2. Unfavorable Venue Clauses. Watch for anything requiring disputes to be resolved outside of Texas — or in a specific process like arbitration. These things can make pursuing a claim impractical.

3. Broad Indemnification. Flag any clause that holds you liable for losses, damages, or legal fees outside of your direct control, instead of the vendor. These can be buried in boilerplate.

Most high-volume firms have a threshold. If your case doesn't hit a certain dollar amount, you get a form letter or a polite decline.

A client called me after finding out their business partner had signed a commercial lease—without them. No heads up. No approval. Completely legal under Texas law.

That's the reality most people don't know: in a general partnership without a written agreement, either partner can bind the entire company to contracts, debt, and major commitments. You don't have to sign. You don't even have to know.

Three things every business partner in Texas should know:

1. Default Texas law gives each general partner broad authority to act alone.

2. A written partnership agreement can define exactly who can do what—and require both signatures for major decisions.

3. The best time to get that agreement in place is before there's a dispute. After one starts, it becomes a negotiation.

If you're running a business with a partner and there's no written agreement, that's a risk worth addressing now.

I've been practicing law in Austin since 2000, and I can't tell you how many times someone has walked into my office saying, "I wish I'd read this more carefully before I signed."

Here's the thing: you don't need to become a contracts expert. But you do need to protect yourself. Whether it's a business partnership agreement, a settlement offer, or even a seemingly simple service contract, these three questions can save you thousands of dollars and countless headaches.

Before you sign anything:

1. What happens if I need to get out of this agreement?
Look for termination clauses, notice requirements, and penalties. A contract that's easy to enter but impossible to exit is a trap waiting to spring. I've seen business owners locked into partnerships that cost them far more than the original deal was worth because they didn't understand the exit terms.

2. Who pays for what if something goes wrong?
Check the indemnification and liability clauses. Are you on the hook for the other party's mistakes? Are there caps on damages? One client signed a vendor agreement without realizing they were responsible for the vendor's legal fees if any dispute arose, even if the vendor was at fault.

3. What am I actually agreeing to that's NOT in this document?
Many contracts incorporate other documents "by reference" or have a webpage link to Terms and Conditions that don't appear in the document itself. If the contract references another agreement, policy, or set of terms, make sure you've read those too. You're bound by all of it.

Bonus reality check: If someone is rushing you to sign or making you feel difficult for asking questions, that's exactly when you need to slow down. Legitimate business partners respect due diligence.

You deserve to know what you're signing. And if a document feels over your head, it probably is—that's when you call someone like me to review it before you're locked in.
