When Was the Last Time You Looked at Your Bylaws?
Bylaws aren’t just paperwork — they’re the rulebook that keeps your organization running smoothly when things change.
You should review (and often update) your bylaws when:
• Your board structure changes
• Your organization grows or shifts programs
• You receive new funding or grants
• Laws or compliance rules change
• Your mission or strategy evolves
• It’s been 3–5 years (even if nothing feels “different”)
Commonly Missing or Weak Bylaw Provisions:
• Unclear board roles and decision-making authority
• No process for officer removal or resignation
• Vague voting and quorum rules
• Outdated meeting language (hello, Zoom 👋🏽)
• Missing conflict-of-interest procedures
• No guidance for emergencies or interim decisions
Best practice:
If your bylaws don’t match how your organization actually operates, it may be time for a refresh.
