In many dental and healthcare partnerships, ownership percentages are clearly defined—but decision-making authority is not.

Who makes day-to-day business decisions?
Who has the final say on major financial or operational changes?

Without clear answers in your partnership agreement, even well-intentioned partners can run into disagreements that slow down operations and create unnecessary tension.

Clarity from the beginning helps protect both the relationship and the business.

Legal Myth Busted: “You only need a lawyer at the closing stage.”

In many dental practice acquisitions, the biggest decisions are made long before closing day.

By the time contracts are finalized, critical terms like deal structure, financial responsibilities, timelines, and negotiation points may already be set in motion.

Early legal guidance can help shape:
✔ Deal structure
✔ Tax considerations
✔ Negotiation leverage
✔ Risk management strategies

The earlier legal strategy is involved, the more flexibility and protection you may have throughout the transaction process.

Waiting until closing often means fewer opportunities to negotiate meaningful changes.

Before you sign that associate agreement, make sure you understand what’s really in it.

A dental associate contract is more than just a job offer—it defines how you get paid, where you can work in the future, and what happens if you leave.

Common areas that deserve careful review include:
✔ Compensation formulas
✔ Restrictive covenants (non-compete clauses)
✔ Patient ownership and continuity of care
✔ Written vs. verbal expectations

What you sign today can directly impact your career mobility and financial growth tomorrow.

No one enters a partnership expecting conflict—but every smart partnership prepares for it.

Without a dispute resolution plan, even small disagreements can turn into costly legal battles or broken relationships. Clear terms around how disputes are handled can save time, money, and the partnership itself.

The best time to plan for conflict is before it ever happens.

Wondering how long a dental practice sale really takes?

While every transaction is different, most practice sales follow a general timeline:

• up to 30 days for preparation (financials, documentation, initial planning, financing and LOI)
• up to 60 days for due diligence, negotiations, and contract drafting especially when real estate is involved
• 5-7 days for finalizing and closing the deal

Delays can happen depending on financing, lease approvals, or how quickly both parties move through the process.

Understanding this timeline helps you plan ahead and avoid unnecessary stress during your practice transition.
