Company celebrations, team outings, and off-site events are meant to bring people together. They can also carry risk that employers sometimes overlook.

A common misconception is that conduct at a restaurant, a venue, or an after-hours gathering falls outside the workplace. It does not. When an event is work-related, the same rules and the same employer responsibilities apply, even when it happens off the clock and off the premises.

For employers, a few steps go a long way: set expectations before the event, be thoughtful about alcohol, and make sure employees know how to report a problem afterward. A good time and a safe environment are not at odds. Planning ahead protects both.

They begin as internal complaints—about accounting practices, compensation, governance, or operational decisions—and quickly evolve into high-stakes litigation touching employment law, business disputes, fiduciary duty, and even divorce proceedings involving business assets.

Federal law and New York law both apply. And since 2022, New York's whistleblower statute has been significantly expanded—lowering the standard for employees and broadening who qualifies for protection.

Being named a trustee in New York can feel like a vote of confidence. It is also a legal job that carries real personal risk. A trustee is a fiduciary, which means you are legally required to act in the best interests of the trust and its beneficiaries.

In New York that includes duties of loyalty, prudence, impartiality, and transparency. You are not just managing assets. You are managing them on behalf of other people, under a standard a court can later review. Trust administration often looks simple at the start. It rarely stays that way once beneficiaries begin questioning decisions. Handled well, the process moves efficiently.

Handled poorly, it becomes litigation. If you have been asked to serve as a Trustee, start by reading the trust document closely. It defines your authority, the rights of the beneficiaries, and whether distributions are mandatory or discretionary. Understanding the role at the outset is the best way to protect the trust, the beneficiaries, and yourself.

The cause is close to home. Firm founder Peter Glennon helped co-found Honor Flight Rochester, which flies local veterans to Washington, D.C., at no cost, to see the monuments and memorials built in their honor. For many, it is a trip they waited decades to take.

On August 21, golfers will spend the day raising money to send another group of veterans on that journey. We are glad to support the cause!

Generation-skipping trusts are powerful tools for preserving wealth for decades. They are also one of the more common sources of trust and estate litigation, and the reason usually has little to do with tax law. The trouble starts with the built-in tension between the generations. Children often receive income during their lifetimes while grandchildren receive the principal later. When one side wants larger distributions and the other wants the principal protected, the trustee gets caught in the middle.

A couple of tips for families and fiduciaries:
→Keep beneficiaries informed. Most disputes trace back to limited communication and decisions made without explanation.
→Address conflicts of interest early. Unilateral choices and unmanaged expectations are what turn an administrative delay into a lawsuit.

These trusts are not set it and forget it arrangements. Early guidance can save years of costly conflict.

The arbitration clause is one of the most ignored provisions in a business agreement. It is also one of the most powerful. You will find these clauses in partnership agreements, shareholder agreements, employment contracts, vendor deals, and franchise agreements. Most people treat them as boilerplate, negotiate them quickly if at all, then forget about them. Until a dispute arises.

At that point the clause can control where the dispute is resolved, how, how fast, at what cost, and with what leverage. Whether a matter goes to court or to arbitration can shape the entire trajectory of the fight. If you are signing an agreement with an arbitration clause, read it as carefully as you read the price and deliverable sections. It may decide how your next dispute plays out.

Some business disputes require success at more than one stage of the litigation.

After securing for our client a unanimous reversal from New York's Appellate Division on liability for breach of contract earlier this year, we recently returned to the trial court for the damages phase and obtained a favorable judgment. Our client will recover the full damages to which it was entitled under the parties' contract, together with statutory 9% interest.

In addition to awarding the full principal and interest owed, the parties' contract also entitles our client to recover its attorneys' fees and costs. That issue is currently pending before the Court.

Commercial litigation often requires persistence. Sometimes success requires prevailing at multiple stages of the litigation – from appeal through final judgment.

Congratulations to our client on this outstanding result.
