ARE YOU AWARE OF THE CONTRADICTIONS IN THE NEW ANTI-MONEY LAUNDERING LAW?

On 11th February 2022, Government published new Regulations to amend the Anti-Money Laundering Regulations of 2015. Under these new regulations, all the additional due diligence measures applicable to Politically Exposed Persons have been extended to also be applicable in equal measure to their respective family members and close associates.
You might be wondering who a “Politically Exposed Person (PEP)” is, and what’s all the fuss about Anti-Money Laundering Law (also simply called, AML law)? Don’t worry, this article will surely this down. World over, AML law is designed to ensure that financial systems are not used by criminals like corrupt public officials, drug-dealers, human traffickers, terrorists and people of that caliber to conceal or disguise the proceeds of their criminal activities. In Uganda, Parliament enacted the Anti-Money Laundering Act in 2013 as the principal law for this purpose. This Law tasked all those businesses and professionals involved in financial transactions to be accountable persons with broad obligations to constantly conduct special due diligence on their customers and clients, and accordingly cooperate with the Financial Intelligence Authority. This Law also deemed certain clients/customers to be Politically Exposed Persons who require extra due diligence measures. But then, who is a Politically Exposed Person (or simply, PEP)?
Wondering who a PEP is? Well, just think about every individual whom you can legitimately call a Gamba-Nogu in our local parlance. What does this mean for a Ugandan business person?

This week on Tuesday 1st February 2022, there was an earthquake in Uganda. Granted seismic waves did not pass through the ground, but they might as well have. Uganda hosted important dignitaries at the Kololo Independence grounds. Multinationals and VVIPS were there. Thats right, they did not send their representatives, they were here in person; the global CEO & Chairman of Total Energies and Chief Executives of CNOOC. Those CEOS run companies that have a balance sheet bigger than our ka Uganda. They move in private jets and have powers close to a President’s.

What was happening was even more significant; the Final Investment Decision (FID) was being sealed. Let us break this down for you. So, we all know Uganda is gifted by nature. Uganda is blessed with more than 50 types of minerals and ranks one of the highest in Africa. From Gold in Karamoja to wolfram/tungsten and steel in Kabale it is a wonder that we are all not chilling with the big boys.

In 1925, Geologist E.J. Wayland documented the existence of Oil seepages in Uganda. It has been in the ground undisturbed all this time until our current President decided our oil was what was going to make us a developed country. From the early 2000s exploration activities have been taking place and in 2006, there was great celebration when it was announced that there were commercially viable oil reserves in Uganda. Meaning the oil in the ground is enough in quantity and quality. From that time, there has been a lot of activity including new laws, policy and institutional framework being rolled out, Production Sharing Agreements being signed and licenses awarded to companies. CHANGING THE PURPOSE OF YOUR BUSINESS? Here's how you can do it lawfully

New year, New me! This may have been the new year resolution for your business… And for one reason or the other, you may have decided that change must happen this year! The pandemic may have hit that business so hard that you are unprepared to carry on with the risk of future uncertainties. It could be that the business is no longer as profitable as you had previously expected, and it has therefore become impossible to cope with debts. For whatever reasons, your decision to change might be already signed and sealed. Whether it is a change of business ownership where you intend to sell the business or a change of business type where you simply want to switch to another kind of business, it is advisable that the change is appropriately managed so that the change is both profitably and lawfully sound.

Where the change is merely a change of business type, say from a school to a Guest House, it is not enough for you to merely convert those classrooms into Guest House suites and that football pitch into spectacular gardens. It is rather advisable that, with the assistance of your Lawyers, you go ahead and adjust your Memorandum of Association to reflect the new type of business you have switched to. Having made these changes, it is also advisable that you avoid the wrath of local authorities and regulators by securing a trading license and permit that is specifically applicable to your new type of business, before you even start out. After all these have been done, remember to brand your new business and consult your Lawyers on how you can secure legal protection for that new brand.
