PUBLIC PROCUREMENT!!!
As you venture into Public Procurement Transactions, it is critical that you group basic concepts contained in the PUBLIC PROCUREMENT AND DISPOSAL OF PUBLIC ASSETS ACT, Regulations and guidelines made there under from time to time.
“Procurement” means acquisition by purchase, rental, lease, hire purchase, license, tenancy, franchise, or any other contractual means of any type of works, services, or supplies or any combination.
Contract in this context means an Agreement between a procuring and disposing entity and a provider, resulting from the application of appropriate and approved procurement procedure, concluded in purchase of bid award decision of a contracts' committee or any other appropriate authority.
Consequently, Public Procurement will necessitate offer and acceptance by the respective parties, and the resultant negotiation, if any, leading to the final contract.

LAND TRANSACTION DUE DILIGENCE CHECKLIST

In the High Court case of Kaahwa David v Guaranty Trust Bank CS No. 175 of 2015 Justice Henry Kawesa stated that; Over a time, Courts have emphasised the need for a thorough due diligence before entering any land transaction. The purpose of this is to ensure that the buyer gets enough information about the land so as to make the smartest buying decision possible, and avoid making a bad purchase.
From that decision, it is therefore imperative to do a substantial level of due diligence before completion of a land transaction. Most importantly, always engage the services of an advocate from the beginning to the end so you may be advised on the technical aspects of the process. Below are some steps to consider.
1. Identify the property you wish to purchase
2. Identify and instruct an advocate to assist in the purchase process
3. Visit the land/property and the land owner with your advocate
4. If the land is titled, request to see and obtain a copy of the Title.
5. Carry out a Land Title Search in the Land Registry Office
6. If the land is not titled, request for all documents pertaining ownership of the same
7. Use a Professional Surveyor to Verify the Land Size and boundaries in the presence of the neighbours.
8. Engage a Professional Property Valuer to do a property valuation of the property.
9. Prepare the Sale and Purchase Agreement
10. Ensure that Transfer Forms are signed by the Vendor preferably at the same time as they sign the Sale and Purchase Agreement
11. Find a secure place either at your Advocates chambers or a bank to do the payments if it’s an all cash payment.
12. After payment, ensure to part with the following documents;
• Dully signed Sale and Purchase Agreement
• Dully signed Transfer Forms
• National ID and 2 Passport size photos of the Vendor
• Original Copy of Land Title

NB: You must ensure that your Lawyer verifies all relevant documents and is part and parcel of the entire transaction from beginning to the end.

• Reserve the name of the Company with Registrar of Companies.
• Prepare Memorandum and Articles of Association of the Company and submit for filing by Registrar of Companies.
• Ensure that all copies of Documents are properly signed and witnessed, preferably by an ADVOCATE.
As you embark on business, regularly seek Legal advice on the various types of documents and Company Forms that must be filed from time to time in compliance with the provision of the Companies Act and other relevant Laws.
