Innovatus Law was founded by Derek T. C. degrees.

On May 21 and 22 2026, Taiwan's Keelung District Prosecutors' Office executed search warrants across twelve locations, detaining three suspects in what it described as Taiwan's first formal criminal crackdown on the illegal export of AI servers to China. The hardware in question: approximately fifty Supermicro servers equipped with advanced NVIDIA chips, valued at over US$15 million, allegedly bound for China via Northeast Asia and Hong Kong and Macau under falsified shipping documents.

This article examines a common but often overlooked labor issue in Taiwan’s large-scale construction projects: whether local workers hired under fixed-term contracts are entitled to severance when their contracts are not renewed. International contractors often rely on local HR consultants, but overly cautious advice can create substantial costs when applied across a large workforce. Under Article 9 of Taiwan’s Labor Standards Act, fixed-term contracts may in some cases be deemed non-fixed term contracts. However, Paragraph 3 excludes fixed-term contracts for specific or seasonal work from that conversion rule. Based on Taiwan court practice, repeated renewals, a project not being fully completed, or the absence of approval and record for work lasting more than one year do not necessarily convert specific work contracts into non-fixed term contracts. For international contractors, the key is to clearly define the work objective, contract term, and hiring purpose from the outset.

Long-term construction contracts allocate risk at signing. They cannot anticipate what happens over three to five years of ex*****on. Article 227-2 of Taiwan's Civil Code, the Doctrine of Change of Circumstances, exists precisely for that gap. This article examines how the doctrine works in practice for international EPC contractors operating in Taiwan: when it applies, when it fails, how courts calculate the award, and what limitation periods govern the claim. The analysis covers the doctrine's three-element test, its interaction with fixed lump sum and exclusion clauses, the calculation methods, and the practices that may be worth building into the project from the start before any dispute arises.

Foreign brand owners entering Taiwan sometimes allow local distributors to register trademarks under the distributor's name—a shortcut especially common in gaming, where the local partner's role extends well beyond distribution. The license agreement preserves the brand owner's IP rights on paper and obligates transfer on exit. But when the relationship sours, that contractual right proves no match for registered ownership, and the ex-distributor can turn the marks into litigation weapons. The cleanest solution is more accessible than foreign companies often assume: hold the Taiwan registration directly from day one.

Taiwan's construction market is entering a period of accelerated growth, driven by AI-related infrastructure including new fabs, data centers, and corporate campuses such as Nvidia Constellation in Taipei. International EPC contractors and engineering consultants are increasingly entering the market for the first time, often under contracts that combine ICC arbitration with Taiwan governing law, the standard pattern in major infrastructure procurement.

This article, the first in a series written for international contractors approaching Taiwan, sets out the roadmap of contractor-versus-owner disputes under Taiwan civil law. Every dispute reduces to two demands: more time and more money. The article maps three legal pathways for extension of time, the Force Majeure trap that surrenders monetary claims, the distinction between price claims and damage claims, the implied change order doctrine that recovers acceleration costs, and the principle of change of circumstance against fixed-price clauses.

The most important warning is about timing. Taiwan's statutes of limitation are unusually short, mandatory, and cannot be extended by contract. The contractor's most expensive mistake is rarely substantive. It is about when, not whether, to act.

Taiwan's mechanism for protecting trade secrets in litigation is powerful but unforgiving. Unlike U.S. federal practice, where courts retain broad discretion and inadvertent disclosure can be addressed after the fact, Taiwan's protective order system operates within a hard statutory limit: protection must be secured before documents enter the record. This article compares Taiwan's framework under the IP Case Adjudication Act with U.S. federal practice under FRCP 26(c), with practical guidance for foreign counsel.
