Forming a Limited Liability Company

The name of a proposed company with limited liability must include the word ‘Limited’ or ‘Ltd.’ and be approved by the Registrar of Companies in advance. The Companies Act requires the preparation and registration of Articles of Incorporation which are the constitutional instruments of the company together with other statutory forms. Thereafter the Registrar of Companies issues a Certificate of Incorporation.

Limited Liability Company

Where a company is limited by shares, the liability of each shareholder for debts or expenses (in the event of winding up) will be limited to the unpaid amount on his shares (since unpaid shares are not permitted for new companies, this is not significant). Former members who have not been members for more than one year are excluded from liability.

Here are some Myths about Estate Planning, particularly Wills and Probate!

1) Estate planning is just for the wealthy.
2) I'm too young for estate planning.
3) If I pass away without a will, the state will get my assets.
4) If I have a will, I don't have to worry about probate.
5) I need a lawyer to draft these documents.
6) I don't need a lawyer at all.
7) It takes years to probate (family fights, large estates, ongoing income).
8) I don’t have to leave anything to my spouse (get legal advice to guide against changing minds).
9) As the oldest I am entitled to be executor.
10) Making a Will is forever.
11) Making a Will is expensive and complicated.

Grants of Representation

Application to Probate Registry of the Supreme Court of Judicature of Trinidad and Tobago must include;

An application for the grant made by an Attorney at Law (where the value of the estate exceeds TT $4800.00)
An affidavit of the executors to include:
Name, Address, Occupation;
Name, Address and Occupation of testator at the time of death and date and place of death;
A description of the Will and other documents accompanying it;
The oath of the executor to administer the estate honestly and fairly;
A statement of the gross value of the estate;
Certified copy of the death certificate of the testator;
Original Will of testator;
Affidavit of an original witness to the Will;
Inventory of assets of the testator and value thereof at death.

You must make an application for a Grant regardless of whether the deceased left a will or not. Once these documents are filed the application is advertised in a daily newspaper and T & T Gazette. If there is no objection, the Grant will be issued.

A will or testament is a legal document by which a person, the testator, expresses their wishes as to how their property is to be distributed at death, and names one or more persons, the executor, to manage the estate until its final distribution.

Here are some points for you to consider when deciding on whether or not to make a Will!

The Easy Questions

1. Decide What Property to Include in Your Will- If Married Each Spouse would require a Will;
2. Decide who will Inherit- Choose your Primary Inheritors but also Designate Alternatives;
3. Choose an executor to handle your Estate- This should be someone willing to serve and it should come as no surprise to them. You should also decide if this person would receive compensation;
4. Choose a Guardian for your Children;
5. Choose Someone to Manage Children’s Property – A Guardian, Custodian or Trustee;
6. Decide to Draft your Will – Are you of Sound Mind? Are you Being Forced to take this Step?;
7. Draft your Will. If there is more you want to say, attach a letter to the Will;
8. Execute your Will in front of Witnesses;
9. Store your Will safely;
10. Think about needing a Power of Attorney or a Living Will;
11. Update/ Review your Will- Consider every four – five years as a guide.
