¡Saludos! 👋 Soy la Lcda. Cristina Ríos Mena. Naturalmente de Mayagüez, P.R. Obtuve mi Juris Doctor ⚖ en la Facultad de Derecho de la Interamericana y revalidé en el 2012 📚 En el 2015 revalidé en el Tribunal Federal de P.R. y además fui admitida para practicar ante el Tribunal Federal de Apelaciones de E.U. para el Primer Circuito👩‍⚖️ Luego de mucho esfuerzo y dedicación, me place presentarles mi nuevo proyecto . En el "quehacer" del trabajo y en la práctica nos olvidamos de las responsabilidades que cada uno tiene en una junta o dentro de la corporación, ya sea por ley ⚖️ y/o ética.

🖊 Bajo el Art.4.03 de la Ley General de Corporaciones los directores y oficiales están obligados a dedicar a los asuntos de la corporación y al desempeño de sus funciones la atención y cuidado que desempeña un director u oficial responsable y competente al ejercer su mejor juicio en las corporaciones sin fines de lucro.

✅La doctrina del "Business Judgement Rule" sirve como herramienta para evaluar si ha actuado con "diligencia". Ésta protege las decisiones de directores y oficiales si actuaron en buena fe. ✅Bajo el deber de lealtad los directores y oficiales deben anteponer los intereses de la corporación ante sus propios intereses y no obtener beneficios de la corporación.

In other words: "All things come to those who wait"🧘‍♀️Sometimes I don't want to wait. But I have been a witness of this and have experienced it firsthand🥇

Such is the case for the Limited Liability Companies. Did you know the LLC was born in Wyoming in 1974? But it wasn't until 1996 that the majority of the states had convinced legislation to allow the existence of the LLC. At last, in 2004 the General Corporation Law of Puerto Rico was amended and for the first☝️time the LLC was recognized here in 🇵🇷.

Don't stop 🛑 It might take years but it will come. First 1️⃣ you have to convince yourself to convince others.

Although the legal profession is still dominated by men, from 1970 to 2022 there has been a gain from a 3% to a 38% of lawyers who are female 👱‍♀️

Presently, more than 55% of law school students are women 💪
