You can either come to Poland in person or complete the entire process remotely.

After signing an agreement with our law firm (an email address is required), you will receive the documents for electronic signature.

The next steps include:
– notarised confirmation of identity and signature;
– a power of attorney for company registration;
– documents relating to the electronic signature.

Don't treat your company's articles of association as a formality to tick off at the notary's!

It's one of the most expensive mistakes you can make at the start of a business.

The Commercial Companies Code only sets the framework.

⚖️ Article 157 of the Code specifies what the articles of a limited liability company must contain:

🔸 the company name and registeredoffice,
🔸the scope of business,
🔸the share capital,
🔸whether a shareholder may hold more than one share,
🔸the number and value of shares,
🔸the duration of the company if it is fixed.

That is the bare minimum.

The real value ❕ of the articles lies in what you add beyond the statute:
👉🏻 rules for shareholders joining and leaving,
👉🏻 preferred shares,
👉🏻 majority thresholds for keyresolutions,
👉🏻 restrictions on the transfer of shares,
👉🏻 rights of first refusal,

Managing a Fund? This judgment could be worth millions

Early 2026 brought an important judgment from Poland's Supreme Administrative Court (NSA) on the VAT exemption for the management of investment funds.

The dispute centred on how broadly the concept of "management" should be understood: the tax authorities have traditionally sought a narrow reading, so as to bring as many services as possible within the scope of the standard 23% VAT rate. The Court disagreed and set aside the unfavourable tax ruling.

The key takeaway: what matters is not the label on the invoice but the actual nature of the service. Where a service is functionally linked to the management of the fund — investment decisions, portfolio monitoring, or the analysis needed to make those decisions — it cannot be automatically excluded from the exemption.

If you operate in the financial sector — as a fund, a management company, or a subcontractor — this is a good moment to review your contracts and your settlement model.

Sometimes a single ruling means that a service previously treated as taxable should instead be exempt, opening the door to corrections and the recovery of overpaid tax.

You do not need Polish citizenship, and often not even a residence card, to own a Polish company.
For many foreign founders, that comes as a real surprise.

👉 Who can register a company in Poland?

Foreigners can run a business in Poland, but the form available to you depends on your citizenship and your residence status.

🌍 EU and EEA citizens can, as a rule, operate on the same terms as Polish citizens.
Citizens of third countries can register sole proprietorship (JDG) only with the right residence basis, for example a Polish Card, permanent residence, or a specific type of temporary residence permit.

🏢 A limited liability company is a different story.

A foreigner can usually set one up without Polish citizenship and without a residence card. What you mainly need is a valid passport and properly prepared documents.

For many investors entering the Polish market, the limited liability company is therefore the simplest place to start.

What tax rates apply in Poland?

For a limited liability company (spółka z o.o.), CIT is generally levied at 9% on annual revenue up to EUR 2 million, and at 19% on annual revenue exceeding EUR 2 million.
Alternative forms of taxation are also available, including the so-called Estonian CIT, which, subject to certain conditions, allows for deferral of corporate taxation (our specialists can provide further details).
For sole proprietorships, the most commonly applied rates are 12% on annual income up to PLN 120,000 and 32% on income above that threshold. A flat 19% tax rate is also available as an alternative. For the IT sector, preferential tax regimes are available, including the IP BOX rate of 5%, as well as a flat-rate tax (ryczałt) of 8.5%, 12%, or 15%, depending on the type of business activity and services provided.

Investing in the Polish market, or just planning your entry?
Check whether you are making one of these 3 mistakes:

❌ Contracts in English only.
An English-language contract is not the problem in itself. The trouble starts in a dispute before a Polish court, when you need to act fast but the sworn translation is still being prepared. It pays to have the Polish version ready in advance.

❌ A temporary structure based on an existing European company.
Polish tax law does not recognise the concept of temporariness. What was meant to be a transitional solution becomes a permanent establishment, and a permanent establishment means taxation.

❌ A figurehead director.
In Poland, a management board member is not just decoration. They can be held liable with their own assets, for tax obligations, and in extreme cases even criminally. A figurehead on the board is a risk, not a saving.

2. The primary barrier is not legal. It is informational.

Polish law does not present fundamental obstacles to foreign entrepreneurs doing business in Poland. However, the system often lacks the transparency that international operators are accustomed to.

A substantial part of our work is translation — not linguistic, but substantive. It means taking a specific regulatory requirement and explaining what it means for a particular business structure, sector, and contractual arrangements. This is where the gap between a solution that is formally compliant and one that actually works in practice is felt most sharply.

3. Trust is not a soft factor. It is a prerequisite.
