A well-drafted arbitration clause can make a difference long before a dispute arises. 🤝

In trust agreements, clearly defining how potential disputes will be resolved is an important consideration for legal certainty, contractual relationships and effective dispute resolution.

During the 35th Latin American Trust Congress – COLAFI 2026, Juan Pablo Fábrega, Senior Partner at FABREGA MOLINO, addressed arbitration as an alternative mechanism for resolving commercial disputes in Panama, with particular emphasis on the scope of arbitral jurisdiction, arbitration clauses in trust agreements and their treatment under Panamanian law and jurisprudence.

His presentation highlighted the importance of understanding the legal effects of arbitration agreements and the role of arbitral jurisdiction in fiduciary relationships.

At FABREGA MOLINO, we believe that sharing legal knowledge contributes to better-informed decisions and stronger contractual frameworks.

How can a legal structure help protect not only assets, but the intentions behind a family’s legacy? 💡 📚

In an increasingly complex world, wealth preservation, succession planning and the long-term administration of family assets require more than financial decisions. They require a clear understanding of the legal structures available. The Panamanian Private Interest Foundation has become an important legal instrument in this field, raising essential questions about asset protection, governance, beneficiaries and the continuity of family wealth across generations.

Drawing on more than three decades of legal experience, Juan Pablo Fabrega Polleri, Senior Partner at FABREGA MOLINO, introduces the second edition of his book, 📚”La Fundación de Interés Privado Panameña”.

This publication offers an opportunity to explore the legal foundations and practical considerations surrounding a structure of particular relevance to legal practitioners, fiduciary professionals, wealth advisors and families engaged in estate and succession planning.

Because preserving wealth is not only about what we build, but also about how we plan for its future.

Asimismo, participó en las mesas de trabajo del encuentro y en la grabación de un episodio del podcast iBoard, donde abordó temas relacionados con el liderazgo.

Having employees in Panama is one thing. Being able to demonstrate Economic Substance is another.

Under Panama’s Economic Substance framework, Human Resources are not simply a matter of headcount or payroll. For entities subject to the rules, what matters is whether qualified personnel are genuinely involved in the activities that support the company’s operations — and whether that involvement can be demonstrated.

This raises important questions for multinational groups:
Are employees’ responsibilities aligned with the entity’s actual activities?
Can their qualifications, time commitment and compensation be properly documented?

If personnel or services are shared or outsourced, is there clear evidence of how those resources are allocated?

In her latest article, Lourdes Bishop, Partner and Head of the Labor & Employment Department at FABREGA MOLINO, examines the Human Resources dimension of Panama’s Economic Substance requirements and the practical considerations companies should be reviewing — from personnel qualifications and actual participation to employment documentation, outsourcing arrangements and recordkeeping.

Because when it comes to Economic Substance, what exists on paper must be supported by what happens in practice.

Is your Human Resources structure prepared to demonstrate that?

Meaningful connections. Shared knowledge. Stronger perspectives for the future of fiduciary services in Latin America.

The 35th Latin American Trust Congress – COLAFI 2026, held in Panama City, brought together legal, banking and financial professionals from across the region for valuable discussions on the evolving fiduciary landscape, regulatory developments and the importance of strengthening professional relationships.

Juan Pablo Fabrega, Senior Partner, contributed to the academic program with a presentation on arbitration as an alternative mechanism for resolving commercial disputes in Panama, exploring the legal framework, the scope of arbitral jurisdiction and the role of arbitration clauses in providing legal certainty within fiduciary relationships.

Our delegation, including Ana Lorena Morales, Principal Partner; Denisse Correa, Partner; and Jorge Arturo Graham Guerra, Associate, also had the opportunity to exchange perspectives and strengthen connections with colleagues and industry leaders from across Latin America.

A particularly memorable moment was the participation of Gustavo Zerbino, whose reflections on resilience, leadership and overcoming adversity brought a powerful human dimension to the Congress.

At FABREGA MOLINO, we believe that sharing knowledge and building lasting relationships are essential to navigating an increasingly interconnected business environment.

Understanding the regulation is the first step. Preparing for its implementation is what comes next. 🤝

As Panama prepares for the implementation of its new Economic Substance Law, businesses face an important challenge: ensuring that their corporate structures, operations and decision-making processes align with the new regulatory requirements.

During “Economic Substance Law: From Regulation to Implementation,” a new edition of ☕ 📰 Café con La Prensa, Juan Raúl Sosa Vallarino, Partner at FABREGA MOLINO, and Jaime Carrizo, Partner at KPMG, shared legal and tax perspectives on the practical implications of this regulatory framework.

The discussion addressed key considerations for companies, including human resources and operational presence in Panama, strategic decision-making, outsourcing arrangements, corporate governance and the documentation needed to demonstrate compliance.

A central takeaway: Economic Substance goes beyond formal requirements. It is about demonstrating that a company’s operations reflect its actual business activities.

As this new framework takes shape, understanding its scope, identifying potential compliance gaps and preparing the appropriate structures will be essential for businesses operating across jurisdictions.

At FABREGA MOLINO, we remain committed to helping businesses navigate regulatory change with clarity, informed legal guidance and a practical understanding of the challenges ahead.

We thank La Prensa and KPMG for contributing to this valuable exchange of knowledge and perspectives.

Strong governance goes beyond structures. It is built through better decisions. 🤝

Dani Kuzniecky, Senior Partner at FABREGA MOLINO, will participate in the 4th Edition of the iDirectores RoundTable 2026 for Board Members across Hispanic America, taking place October 14–16.

Designed as an exclusive roundtable for leading board members from across the region, the event will provide a space to exchange perspectives, strengthen strategic relationships and share insights on how boards can create greater value for their organizations.

With extensive experience advising on corporate governance, business structures and family-owned enterprises, Dani brings a legal and strategic perspective to conversations around the evolving role of boards and the increasingly complex decisions directors are called upon to make.

As businesses navigate transformation, new risks and changing stakeholder expectations, effective corporate governance requires more than compliance. It calls for sound judgment, strategic oversight and governance structures capable of supporting sustainable growth and long-term value creation.

At FABREGA MOLINO, we value opportunities to exchange knowledge and perspectives with business leaders across the region and contribute to the continued evolution of corporate governance in Latin America.

The future of work is being shaped today — by the way organizations lead, develop and connect with their people. ❤️💡

Lourdes Bishop, Partner and Head of the Labor & Employment Department at FABREGA MOLINO, participated in the 21st edition of the National Human Resources Congress – CONANREH 2026, held on September 23–24 at the Panama Convention Center.

Under the theme “GeneRHacciones: Reimagining the Talent of the Future,” the Congress brought together HR professionals and business leaders to exchange perspectives on the forces transforming the workplace, including multigenerational talent, leadership, artificial intelligence, skills development, sustainability and employee well-being.

For Lourdes, participating in forums like CONANREH provides a valuable opportunity to remain closely connected to the evolving challenges faced by those who make decisions about people, workplace culture and labor relations every day.

At FABREGA MOLINO, we believe that understanding these realities is essential to providing legal counsel that goes beyond compliance — helping organizations anticipate risks, strengthen labor practices and build more sustainable workplaces.

Staying connected to a changing world requires being part of the conversations shaping it. 🌎 🤝

Following two days of insightful discussions and meaningful connections in Washington, D.C., Denisse Correa, Partner at FABREGA MOLINO, participated in the SCG Legal Annual Meeting 2026, joining legal professionals from across the network to exchange perspectives on the forces transforming international business and the legal profession. 🤝

From artificial intelligence and the future of legal services to geopolitical and regulatory developments, global trade, M&A, capital markets and evolving client expectations, the meeting provided an opportunity to look beyond individual jurisdictions and consider how these changes are influencing businesses and their legal needs worldwide.

Just as valuable were the conversations beyond the agenda: sharing experiences, strengthening relationships and learning from colleagues navigating similar challenges across different markets.

For FABREGA MOLINO, being part of the SCG Legal global network means maintaining an active dialogue with professionals across jurisdictions and strengthening the relationships that support our ability to assist clients in an increasingly interconnected business environment.

Different jurisdictions. Shared perspectives. Stronger connections.

Connect & Collaborate.
