The Liefferkettengesetz has come into force in Germany: a law that aims to ensure compliance with human rights and environmental standards in global supply chains.

The Lieferkettengesetz, or supply chain law, imposes requirements on companies based in Germany with an inevitable turnover and number of employees. These companies are thus obliged, at home and abroad, to respect and promote human rights and environmental standards in their supply chains.

The primary purpose of the Lieferkettengesetz is to prevent human rights violations. These include forced labour, child labour, discrimination and breach of labour rights. It also focuses on reducing negative environmental impacts such as deforestation and water pollution, which often stem from undesirable and irresponsible business practices.
This legislation gives companies a clear responsibility to ensure ethical and sustainable supply chains. Companies must conduct due-diligence processes to identify and manage risks and take appropriate measures to address and prevent violations.

The Lieferkettengesetz is thus an essential step in promoting responsible business and sustainability. It forces companies to take responsibility for their impact on people and the environment and creates a clear legal framework. Work on this is now also underway at the EU level.

A client got into some hassle with a supplier. Since this was not the first time, my client wanted to cancel the agreement with that supplier, so that's what we did. Only after that did panic set in because he could no longer buy the products he needed for his business. So what do you do then? You start making those products yourself. And that's exactly what my client did. We did run into a minor obstacle then: according to the agreement, my client was not allowed to make the products himself. We found a way around that; my customer was able to make the products, and his business ran like never before.

His son, who had since taken over the business, recently received an offer to sell the business. A great offer and I am now overseeing this acquisition. So I assisted both father and son in this family business: from commercial activities to the company's eventual sale. In der Beschränkung zeigt sich der Meister

Advocatie (a Dutch news site for the legal world) published an article on the fact that contracts are getting longer and more complicated, much to the annoyance of businesses and their in-house lawyers. As a result, legal fees are often skyrocketing. That's right: I recognise that trend. What do I think of that? I prefer short pieces too. The longer the agreement, the greater the chance of contradictions, interpretation problems and hassle afterwards.

In Germany, you often see extraordinarily concise and clear agreements and general terms and conditions that really only regulate matters not provided for by law. That always inspires me enormously because it can be done.

In the international context, however, these good intentions usually fall short. Because therein, the researchers also write, lies the problem. If you sit around the table with an American or Indian party, you can say it is in the law. But that other party does not know the law, does not want to deal with it either, and prefers to be safe. The legal adviser (of necessity) will go along with that out of necessity.

There is also quite a difference whether you are dealing with an SME entrepreneur or a large multinational. Employees of multinationals are often risk-averse. They are often assisted by lawyers who are too. So there is more writing and thinking about all the what-if scenario trios. An SME entrepreneur is usually much more pragmatic in the contest.

Finally, to look in our own mirror: we lawyers are, of course, also heartily guilty. In our pursuit of the 'perfect contract' that no one ever has to argue about, we prefer to write things out in too much detail rather than leave the interpretation of an agreement to the (not always predictable) case law.
Still, it is always good to be brought back up to speed.

Recently, I visited a client. His original request was for help drawing up contracts with new suppliers. I asked him why he wanted help with that: he had more suppliers and used the same contracts every time, which had worked fine so far. He replied that he had started thinking, reflecting on what he wanted to do with the rest of his life, following an earlier post of mine.

We had an extensive conversation about this, and I indicated to him that it was vital for him to start looking now at what could possibly be improved in his organisation. Of course already excellent that he had begun addressing his contracts. He was already taking steps himself.

Together, we thoroughly analysed his company. The analysis revealed several points that could be improved. We put these points side by side and discussed them. Along the way, we concluded that it was definitely not opportune for him to tackle all areas for improvement. Because it was essential to him that a possible takeover would not inconvenience the staff, we focused on those points concerning his employees. We are currently in that process, so to be continued.

Over the past 20 years, I have seen a stream of events that I have partly contributed to as a speaker to prepare Dutch and German companies for doing business across the border and bring them into contact with each other. Not seldom, this involves cultural and legal differences, useful tax facts, marketing, etc. You cannot count the open doors and clichés on the one hand. I will give you one very effective tip: keep working on a good relationship. Your product can be great, but it is guaranteed to go wrong if you don't continuously build a good relationship.
