What Is an Irrevocable Power of Attorney in Real Estate?

One of the documents that often causes confusion in property transactions is the Irrevocable Power of Attorney (IPA).

Many people mistakenly believe that once an Irrevocable Power of Attorney is signed, ownership of the property has automatically changed hands.

That is not always the case.

An Irrevocable Power of Attorney is a legal document through which one person, known as the Donor, authorises another person, known as the Donee, to act on their behalf in respect of a property or transaction.

Unlike an ordinary Power of Attorney, an Irrevocable Power of Attorney is generally intended to remain effective and cannot be withdrawn at the whim of the Donor, particularly where it has been given for valuable consideration or to protect the interest of the Donee.

In real estate transactions, an Irrevocable Power of Attorney may authorise the Donee to:

✔️ Negotiate and conclude the sale of a property.

✔️ Sign documents on behalf of the owner.

✔️ Receive payment for the property.

✔️ Manage or develop the property.

✔️ Apply for approvals and process title documents.

✔️ Perform other acts expressly stated in the document.

However, it is important to understand what an Irrevocable Power of Attorney is not.

It is not automatically a title document.

It does not automatically transfer ownership of the property.

Its legal effect depends on:

The wording of the document.
The intention of the parties.
The nature of the transaction.
Compliance with applicable property laws.

This is why every Irrevocable Power of Attorney should be carefully drafted, examined, and interpreted within the context of the entire transaction.

As a property consultant and arbitrator, I always advise clients not to rely on the title of a document alone.

The name of a document is important, but its legal effect is even more important.

Understanding the difference can save you from costly disputes and protect your investment.

If you're buying, selling, or investing in real estate, don't assume you understand a legal document simply because you've seen it before.

Understand what it does, what it doesn't do, and how it affects your rights.

Many people focus on buying the property but pay very little attention to the documents that make the transaction legally valid.

In real estate, proper documentation is what protects your investment. Without the right documents, proving your ownership or enforcing your rights can become difficult.

Here are five important documents you should understand in a typical real estate transaction:

1️⃣ Contract of Sale

This is usually the first formal agreement between the buyer and the seller. It sets out the terms of the transaction, including the purchase price, payment terms, obligations of both parties, and conditions that must be met before the sale is completed.

2️⃣ Purchase Receipt

A purchase receipt acknowledges that payment has been made. While it serves as evidence of payment, it does not, on its own, transfer ownership of the property.

3️⃣ Deed of Assignment

This is one of the most important documents in a property transaction. It is the legal instrument through which ownership and interest in the property are transferred from the seller (Assignor) to the buyer (Assignee).

4️⃣ Irrevocable Power of Attorney

In some transactions, a property owner may authorise another person to act on their behalf through an Irrevocable Power of Attorney. Depending on the circumstances, it can confer extensive powers relating to the management or transfer of the property. It should always be carefully drafted and legally reviewed.

5️⃣ Deed of Lease

Where the transaction involves leasing rather than outright ownership, a Deed of Lease sets out the rights and obligations of both the lessor and the lessee, including the lease term, rent, permitted use, renewal provisions, and other important conditions.

📌 The right documents are just as important as the right property.

Before signing any document or paying for any property, ensure that the documents are professionally prepared, reviewed, and verified.

A small mistake in documentation today can result in years of legal disputes tomorrow.

Before You Buy Any Land in Nigeria, Check These 5 Things

One of the biggest misconceptions in the real estate industry I see is this:

Buyers think that

"If the seller has documents, then the land is safe."

Not necessarily.

Before paying for any property, I recommend checking these five things:

1. Verify who truly owns the property.

Never rely solely on what the seller tells you.

2. Confirm the property's legal status.

Find out whether it is under Government acquisition, committed acquisition, or affected by road expansion or other public projects.

3. Investigate the title history.

How did the current owner acquire the property?

Can they legally transfer ownership?

4. Check for disputes.

A property can look perfect and still be under litigation or subject to competing ownership claims.

5. Never skip professional due diligence.

A lawyer, surveyor, and other qualified professionals can identify risks that most buyers will never notice.

I've seen people lose millions because they were in a hurry to "secure a good deal."

In property, a cheap mistake usually becomes an expensive lesson.
