Be open to expansion. Would you rather be the sole proprietor of a small business or own maybe 30% of a huge company that's worth millions/billions? Sometimes you're so stuck trying to do it all your way. Yes, it was your idea, yes you built this business from the ground up and would like to keep it in the family.

BUT, what if your children or grandchildren have no interest in running that business? As a small business, they would need to take over from you and run the business effectively, otherwise the business collapses. As a big business however, even if they have no interest in the business, you can pass on your shares to them as a gift or bequest. They remain majority shareholders and reap financial benefits without having to be involved in the day to day running of business.

About a week ago, Global Internet Entertainment Platform giant, Netflix announced its acquisition of comic books company, Millarworld founded by comics legend, Mark Millar. This is Netflix's first (but most likely not last) acquisition.

The interesting point to note here is that the focus of this acquisition transaction is essentially Intellectual Property (IP). The internet has opened doors for many business models like Netflix which in turn opens doors for creatives. The possibilities and opportunities are endless.

IP plays a significant role in the creative industry and it is foolhardy for any creatives to ignore IP protection. Is your IP being protected? 😊

So your business has a fancy website built by a prominent design and marketing firm. You were given a contract to sign at the beginning but you didn't bother reading before signing. Or maybe you read it but didn't really understand the terms. You're paying a monthly/annual fee and everything is great.

But wait... who owns the domain name? Who has copyright to the website content? Are you the owner or did the web development/marketing firm grant you a limited/revocable license? Did you assume it was yours?

Now your business has suffered some temporary setbacks and you need to cut down costs. Your monthly payments are really eating deep into your account. Your sister knows another good firm that's way cheaper. You'd like to switch. That contract you failed to read rears its ugly head.

You stop making payments in protest so they take down your site and hold your domain hostage. What do you do?

1. You can ask nicely.
2. You can hire a lawyer.

Success on the first option is difficult while the second is expensive and not guaranteed.

What could you have done differently? You should have hired a lawyer who handles such cases to review the contract before signing. She would have advised against signing it. Reviewing a contract is way cheaper than handling a dispute.

So, now you've spent all that money on a site you don't own, you may have to pay a lawyer to help you get the domain back and then pay another web design firm for a new website OR stick with the old firm. Either way, you're... 😊

This article from Borgen Magazine addresses some of the problems with the tech industry in Nigeria and other African countries. The growing tech industry has the potential to contribute significantly to the Nigerian economy. What tech startups need to do is position themselves for growth and globalisation. How do you do this? See our last post that talks about the little things a tech startup can do to attract investors.
At the end of the day, your technology is useless if it does not have a wide reach. From the onset, make sure you're looking at the big picture.

Almost every business has to comply with some sort of legal formality. Some, more than others. Certain businesses may require permissions or licenses in order to operate.

Always ensure you are up to date on your filing and in full compliance with the law. Failing to do so may harm your reputation or result in loss of revenue if your business is sealed or even shut down.

Do some research and/or seek legal counseling if you're not sure what you should be doing.
