The Companies and Allied Matters Act, CAP C20, LFN 2004 (“CAMA”) imposes duties, responsibilities and statutory obligations on the members and directors of public and private companies regarding their Board of Directors meetings (“BOD”), Annual General Meeting (“AGM”) and other meetings.

However, the various social gathering prohibitions and stay at home orders made by the President of the Federal Republic of Nigeria during his 29th March, 2020 broadcast restricting movement in Lagos, Ogun and the Federal Capital Territory (“FCT”) Abuja , similar to measures previously announced by several State governors and the Minister of the FCT, will undoubtedly have a direct impact on the ability of public and private companies to convene the mandatory meetings prescribed by CAMA due to the corona virus pandemic (“COVID-19”).

The Coronavirus Disease 2019 (COVID-19) formally declared as a pandemic on March 11, 2020 by the World Health Organisation (“WHO”), has caused unprecedented disruption to economic and social activities globally.

Air Carriers in particular as potential vectors of the disease between and within countries, have been badly hit by the almost complete and indefinite suspension of commercial flights, on account of a disease that currently has no cure. Consequently, several countries have closed their land borders, airports, ordered citizens to stay at home and observe social distancing as much as possible during this pandemic.

Beyond the obvious financial impact, putting the survival of many airlines at risk, there may be issues of potential liability for unwittingly transporting the virus from one country to another through infected passengers.

If regulations are made by both the President and the Governor of a State pursuant to the same Federal statute, the principle enshrined in section 4 (5) of the CFRN on the resolution of conflict between a Federal Act and a State Law would be inapplicable. This is so because regulations made by a Governor in the foregoing circumstances, would not have been made pursuant to a State Law. Such regulations would have been made pursuant to the same Act of the National Assembly by which the President made his regulations.

The Quarantine Act provides in section 8 that if the President has not made any declaration or regulations, a Governor may fully exercise the powers conferred on the President in respect of the State in question. Once the Governor exercises powers conferred upon him by sections 2, 3, 4 and 8 of the Act in the absence of a similar exercise of such powers by the President in respect of the affected State, the Declaration and Regulations made by the Governor acquires force of law and is therefore irreversible by the President, except by Court Order. Thus, where the President, nonetheless, proceeds to make regulations on similar matters in respect of the same State after a Governor has acted pursuant to section 8 of the Act, the regulations made by the Governor in the first instance will prevail in the event of conflict.
