COMPANIES LIMITED BY GUARANTEE: a company LTD/GTE is one which has the liability of its members limited, by the memo, to such amount as the members may respectively thereby undertake to contribute to the assets of the company in the event of its being wound up. a company formed for promoting commerce, art, science, religion, sports, culture, education, research, charity, or another similar object, and the income and property of the company are to be applied solely towards the promotion of its objects and no portion thereof is to be paid or transferred directly or indirectly to the members of the company except as permitted by CAMA.

While INCORPORATED TRUSTEE is a non-business organization and it is quite all-embracing. It is covered in part C CAMA Incorporated trustee involves any community of persons bound together by custom, religion, kinship or nationality or anybody or association of person established for any religious, educational, literary, scientific, social, development, cultural, sporting or charitable purpose.

The employer is liable for any act, action, or deed word conducted and said on behalf of the company by the employee but in the case of a criminal act, omission, and liability, the general rule of the law state that they are personal, not vicarious.

VICARIOUS LIABILITY

This refers to the act of making a party liable for the third-party action or negligent act of a third party for example an employer or independent contractor is responsible for the actions of his employee and due care must be employed in the discharge of their duties, any act committed by the employee during the course of their employment, the employer is vicariously liable for such omission or act.

The commonest example is employer-employee, agent, and independent contractor however, there are some other classical examples when a person can be responsible for the act or omission of another, a child who has taken the property of the parent to cause harm can make the parent liable because due care and attention should have been taken to oversee the affairs of the child.

Some of the acts or omissions that can make an employer vicariously liable include but are not limited to the following:
- Breach of confidentiality
- Defamation
- Bullying
- Copyright infringement
- Assault.
