About the Nigeria Startup Act - Part 2

The Act refers to tech startups as startups that offer a unique digital technology innovative product, service or process with a number of criteria used for issuing a startup label certificate. To be labeled a tech startup, the startup must meet the following criteria:

a. The startup must be incorporated as a limited liability company and have been in operation for less than ten years.

b. The startup's object clause in its Memorandum of Association must include innovation, development, production, improvement, and commercialisation of a digital technology innovative product or process;

c. It is the owner or inventor of a registered software or the keeper or repository of a digital technology product or process.

d. One or more Nigerians possess at least one-third of the startup's local shares as founders or co-founders; and

If the startup is a sole proprietorship or partnership, it must meet the requirements outlined in paragraphs (b), (c), and (d). A sole proprietorship or partnership is granted a pre-label status for a period of six months to enable it register as a limited liability company, otherwise it will lose the pre-label status.

The Act's goal is to create and promote a conducive climate for technology-enabled businesses in Nigeria and to position Nigeria's startup ecosystem as Africa's leading digital technology hub. The promulgation of the Act has been seen as a forward-thinking attempt to improve Nigeria's startup ecosystem by establishing a unique regulatory and legislative framework to bring it up to speed with best worldwide practises.

The provisions of the Act promise a hopeful future for startups in Nigeria, and the Act has the potential to function as a genuine instrument in supporting the growth and sustainability of the country's enabling Startup ecosystem
