Most Nigerian business owners at this point send another email. Or worse, they write off the debt entirely and absorb a loss the law never required them to accept.

We are lawyers. We know the Companies and Allied Matters Act 2020 inside out. And yet, the Corporate Affairs Commission, the very body responsible for business registration in Nigeria, took my money, broke its own portal, refused to complete my registration, and then told me, through a staff member at its own complaint desk, to simply “pay again.”

So We did what any lawyer who believes in the rule of law should do. We filed an Originating Summons against the Corporate Affairs Commission in the Federal High Court, Abuja Division. And We are sharing the full legal basis of that action here, because what happened to me is happening to thousands of Nigerians every day, and someone has to say enough.

When a government agency takes your money and gives you nothing but a broken portal and a dismissive “pay again,” the law has something to say about that. And we intend to make it say it loudly.

The Nigerian corporate law landscape just shifted significantly.

In our latest corporate law analysis at .stonlaw, we examined the Supreme Court’s landmark decision involving Neconde Energy Ltd and Nestoil Ltd; a judgment that is already redefining the limits of receivership and creditor control in Nigeria.

At the heart of the decision is a powerful principle: Receivership does not extinguish a company’s fundamental rights, especially its right to fair hearing and legal representation.

For years, there has been a lingering assumption in practice that once a receiver/manager steps in, the company’s voice is effectively silenced. The Supreme Court has now made it clear, that position is not only flawed, it is unconstitutional.

This decision goes beyond the parties involved. It raises critical questions for:

A Nigerian construction company signed an MOU with the FCDA, mobilised resources on the strength of it, incurred real costs, and then watched the Supreme Court hold, in BPS Construction v. FCDA (2017), that the MOU was not a binding contract. Everything the company spent was gone, with no legal recourse.

This story repeats itself in Nigerian business every week: someone signs an MOU or a Letter of Intent, believes they have a deal, and discovers when the other party walks away that they had nothing more than a statement of intention.

Olabowale Joseph Kunlere, Esq.

Olabowale Joseph Kunlere is a Partner at PRINCESTON, where he leads the firm’s Corporate Commercial and Alternative Dispute Resolution practice.

Olabowale brings a distinctly international legal formation to his practice. He holds an LLB from the University of Hull and a Master of Laws in Legal Practice (LL.M LPC) from Nottingham Trent University, qualifications earned with distinction, recognised by an Outstanding Service Award from the University of Hull Law School.

His practical training included a placement within the Employment and Restructuring team at Eversheds Sutherland LLP in Nottingham, one of the United Kingdom’s foremost commercial law firms, where he gained direct exposure to complex multi-jurisdictional matters.

On returning to Nigeria, Olabowale completed his National Youth Service Corps with Professor Yemi Akinseye-George SAN & Partners, a leading name in Nigerian public law practice.
