➡️Franchising = You grant someone (a franchisee) the right to run your business using your entire system — branding, operations, IP — under tight control.

➡️ Licensing = Someone (a licensee) gets to use your IP (like trademarks) or products, but they have much more freedom in how they run their business.

2️⃣ Regulatory Picture in Malaysia
➡️ Franchising is regulated under the Franchise Act 1998, with more stringent rules, registration, and required disclosure.
➡️ Licensing, by contrast, is generally contractual — there’s no specific “licensing law” for business-model licenses.
➡️ Under the Franchise Act, a franchise agreement must not be less than 5 years, ensuring a longer-term commitment.

➡️ Easier to enter, since it’s governed by contract rather than a statutory regime.

➡️ Lower legal protection compared to franchising; terms rely heavily on the contract.

➡️ If you want brand consistency + protected IP + close operational control, franchising is likely the way to go.
➡️ If you’re more comfortable with a lighter touch, allowing partners to use your IP but run things independently, licensing could be ideal.
