One of the defences for Breach of Trust is the Indemnity Clauses in Trust Deeds, which means a Clause may be contained in a trust deed exculpating the trustee from liability for breach of trust.

The courts construe such clauses strictly according to the ordinary meaning of the words used.

Any ambiguity in the clause is construed contra proferentem – against the interests of the person ( trustee), relying on it.

However, A trustee will be liable for a breach of trust resulting from the act or omission of a co-trustee in the following situations :

1. Leaving trust income in the hands of a co-trustee for too long without making proper inquiries
2. Standing by while to his knowledge a breach of trust is being commited or comtemplated.
3. Concealing a breach committed by his fellow trustees.
