This morning, our Partner, Muhammad Nazreen Jaafar, appeared for our client, a military officer, who was charged with murder under section 302 of the Penal Code and two other charges under section 44(1A)(b) of the Road Transport Act 1987.

𝑾𝒊𝒏 𝒂𝒕 𝒕𝒉𝒆 𝑪𝒐𝒖𝒓𝒕 𝒐𝒇 𝑨𝒑𝒑𝒆𝒂𝒍 🏛️: 𝑷𝒓𝒊𝒗𝒂𝒕𝒆 𝑮𝒖𝒂𝒓𝒂𝒏𝒕𝒆𝒆𝒔 𝑪𝒂𝒏 𝑩𝒆 𝑶𝒏-𝑫𝒆𝒎𝒂𝒏𝒅 𝑻𝒐𝒐 👥🏦

On 30.4.2025, we appeared before the 𝐂𝐨𝐧𝐬𝐭𝐫𝐮𝐜𝐭𝐢𝐨𝐧 𝐋𝐚𝐰 panel at the 𝐂𝐨𝐮𝐫𝐭 𝐨𝐟 𝐀𝐩𝐩𝐞𝐚𝐥 and successfully secured a favourable decision for our client – a developer seeking to enforce a Performance Guarantee against the directors of a construction company, the main contractor in the project.

The appeal stemmed from a judgment delivered after full trial at the Kuala Lumpur High Court.

🔍 Key issues addressed by the Court of Appeal:

(a) Whether the Performance Guarantee is an unconditional and on-demand guarantee requiring a mere demand simpliciter; and

(b) Whether such a Performance Guarantee, given by 𝐩𝐫𝐢𝐯𝐚𝐭𝐞 𝐢𝐧𝐝𝐢𝐯𝐢𝐝𝐮𝐚𝐥𝐬 (as opposed to a financial institution), can still be unconditional and on-demand.

✅ Highlights of the Court of Appeal’s decision:

✔️ The Court of Appeal unanimously found that the language of the guarantee – including phrases like “pay on demand”, “primary obligation”, “shall not be obliged before enforcing this guarantee to take any action against the Contractor”, “(guarantor) shall forthwith pay whether there are any legal suits or disputes between Company and Contractor” – to be consistent with an 𝐮𝐧𝐜𝐨𝐧𝐝𝐢𝐭𝐢𝐨𝐧𝐚𝐥 𝐚𝐧𝐝 𝐨𝐧-𝐝𝐞𝐦𝐚𝐧𝐝 𝐠𝐮𝐚𝐫𝐚𝐧𝐭𝐞𝐞.

✔️The Court of Appeal rejected the argument that using the “indemnify” converts the instrument into a traditional indemnity requiring proof of loss.

✔️𝐍𝐨 𝐚𝐫𝐛𝐢𝐭𝐫𝐚𝐥 𝐚𝐰𝐚𝐫𝐝 against the Contractor (which is in the Company’s favour) is needed to proof the Company’s loss, before the guarantee can be enforced.

✔️ The Court of Appeal clarified that there is 𝐧𝐨 𝐥𝐞𝐠𝐚𝐥 𝐫𝐞𝐬𝐭𝐫𝐢𝐜𝐭𝐢𝐨𝐧 / 𝐛𝐚𝐫𝐫𝐢𝐞𝐫 preventing private individuals from issuing an on-demand guarantee.

✔️ Interpretation of such instruments 𝐝𝐞𝐩𝐞𝐧𝐝𝐬 𝐨𝐧 𝐭𝐡𝐞𝐢𝐫 𝐰𝐨𝐫𝐝𝐢𝐧𝐠 – not the status of the guarantor (i.e. financial institutions or private individuals).

🔖 The Court of Appeal further dealt with other common issues in the enforcement of a Performance Guarantee, including arguments on want of consideration, unconscionability, and the applicability of the contra proferentem rule.
