We have said this many times before — never underestimate IP rights.

People ask why others spend so much on Pokémon cards. At the end of the day, it’s just cardboard right? But the value comes from the IP behind it — the branding, characters, nostalgia, exclusivity and emotional connection.

Pokémon is one of the best examples of how powerful IP can become when properly protected and managed.

💡 What Happens to Shares When a Shareholder Passes Away?

Many business owners assume that their shares will automatically pass to their family members through their will. But in reality, under the Companies Act 2016 (Malaysia), when a shareholder dies:

➡️ The executor/administrator of the estate steps in, but they do not automatically become a shareholder.
➡️ Shares are subject to transmission by operation of law (s.109 CA 2016), but the company’s constitution and any shareholders’ agreement may restrict who can be registered as the new shareholder.
➡️ Without a clear compulsory buy-out clause, the deceased’s family could end up holding shares in the company — even if the surviving shareholders never intended to be in business with them.

✅ A compulsory buy-out (death clause) solves this: it requires the deceased’s shares to be offered to the remaining shareholders, with the estate receiving fair value. This ensures business continuity, while the family still benefits financially.

Takeaway: If you’re a shareholder, make sure your shareholders’ agreement deals with death — otherwise, you may find yourself with unintended business partners.

Is AI-generated content protected under Malaysian IP law?

I’ve seen a lot of AI-generated figurine images floating around lately, and a few clients have reached out asking:

“If I created an AI-generated image, can I sue someone for using it without permission?”

Under the current Copyrights Act in Malaysia, although the work itself could be considered for copyright protection, it might not qualify if there’s no human author behind it. Currently, there’s no case law in Malaysia that recognizes non-humans (other than a company) as authors of a copyright work.

Having said that, one of the possible ways to protect your AI-generated image is by protecting it as a trademark (especially if it’s part of your branding).

It’s a developing area of law, and as always, context matters.
