When drafting a contract in Cambodia, what dispute resolution options can the parties choose from?

A dispute resolution clause is one of the most important provisions in a contract, yet it is often overlooked by the parties. While parties focus on their commercial rights and obligations, they should also agree in advance on how any future dispute will be resolved.

Under Cambodian law, merchants generally have the freedom to agree on an appropriate dispute resolution mechanism, subject to applicable legal requirements. Depending on the nature of the transaction and the parties' objectives, disputes may be resolved through the Cambodian courts, arbitration, mediation, or other agreed mechanisms where permitted by law. It is important that the wording of the dispute resolution clause is clear to indicate the parties' intent to avoid different interpretations and the risk of unenforceability.

• Second Phase of Regulatory Development on the Simplified Business Registration

On 26 May 2026, the Ministry of Commerce issued Prakas No. 044 MOC.BRD.PrK on the Simplification of Business Registration Phase II (ʺPrakas No. 044ʺ). The purpose of Prakas No. 044 is to continue the simplification and modernisation of business registration process, building upon Prakas No. 117 MOC.BRD.PrK on the Simplification of Business Registration dated 9 December 2025.

• New Regulatory Developments on Elevator Use and Installation in Cambodia

On 29 January 2026, MLMUPC issued Prakas No. 008 DNS/K.K.C/PRK on Certificate of Elevator Use (“Prakas No. 008“), establishing a comprehensive regime governing the certification, continued use, and compliance obligations relating to elevators across both construction and non-construction contexts. This was followed by the issuance of Prakas No. 033 DNS/PRK/K.K.C on 31 March 2026 on Licence for Elevator Installation (“Prakas No. 033“), establishing the conditions and procedures for the issuance, suspension, and revocation of the licence for elevator installation. Both prakas came into operation upon their respective dates of issuance.

What does Cambodia’s participation in World Artificial Intelligence Cooperation Organisation reveal about its role in global AI governance?

During the World Artificial Intelligence Cooperation Organisation (WAICO) High-Level Meeting on Global AI Governance in Shanghai, Cambodia positioned itself as an active rule-maker in global AI governance rather than a passive consumer of emerging technologies.

As one of the early signatories to the WAICO, Cambodia used the platform to advance its strategic vision of “inclusive neutrality and actionable growth for digital sovereignty.” Speaking under the WAICO theme of “Global Solidarity in the AI Era,” Prime Minister Hun Manet emphasized Cambodia’s readiness to work shoulder-to-shoulder with global partners to develop an inclusive and secure AI governance framework that respects national sovereignty.

The Cambodian delegation further urged major powers to treat artificial intelligence as a cooperative bridge for shared human prosperity, rather than as a tool for geopolitical division, technological exclusion, or strategic rivalry.

How does Cambodia plan to contribute to equitable global AI governance through the newly established World Artificial Intelligence Cooperation Organisation?

At a global conference in China themed "AI Partnership for a Brighter Future," leaders established the World Artificial Intelligence Cooperation Organisation to promote multilateral governance and ensure equitable technology access for developing nations.

As one of its founding signatories, Cambodia pledged to advance this vision by implementing its National AI Strategy (2025–2030), finalizing data protection and cybersecurity laws, and championing "inclusive neutrality" to keep AI as a tool for global unity rather than geopolitical division.

On 15 July 2026, our Partner, Prom Savada, was invited to speak at a webinar organised by the National Commercial Arbitration Centre - NCAC titled "Mediation Pre- and Post-Arbitration."

The webinar aimed to enhance public understanding of the role of mediation before and after arbitration, highlighting its value as an effective dispute resolution mechanism. It brought together business community, lawyers, legal practitioners and law students from various institutions.

Can a beverage company still give away free merchandise/rewards such as t-shirts, umbrellas, or tour packages?

Despite the strict ban on promotional prizes, lotteries, and free beverage giveaways, businesses are still permitted to use non-beverage benefits to promote their products. This includes promotional items such as glasses, umbrellas, tumblers, apparel, hats, or even tour packages.

However, there is a strict regulatory limit: the aggregate value of these non-beverage benefits must not exceed 5% of the product's invoiced sales price.

The Royal Government is taking another step to ban prize-based promotion of alcoholic and sugar-sweetened beverages.

The Ministry of Economy and Finance has required businesses to end prize-based promotions for these products by 30 September 2026, as part of efforts to protect consumers, support public health, and promote fair competition.

The restriction covers prize mechanisms such as can rings, bottle caps, raffles, scratch cards, coupons, QR codes, and digital reward programmes.

On 8 July 2026, our Deputy Managing Partner, Tiv Sophonnora, shared his insights during the forum discussion on "Challenges Related to the Practice of the Lawyer Profession in the Land Sector." The forum was organized by the Bar Association of the Kingdom of Cambodia (BAKC) and coordinated by the Working Group responsible for implementing the Memorandum of Understanding between BAKC and the Ministry of Land Management, Urban Planning and Construction.

The forum provided a valuable platform for legal practitioners to discuss the challenges encountered in land-related legal practice, including legal and procedural issues, practical obstacles in resolving land disputes, and opportunities to strengthen the effective, transparent, and fair protection of the lawful rights and interests of all parties. Through these discussions, participants also explored practical solutions and recommendations to enhance the practice of law in the land sector.

Did you know that consumers have the right to file a complaint with the CCF against a business for violating consumer rights?

The Law on Consumer Protection gives consumers the right to lodge a complaint with the Consumer Protection and Competition Directorate-General (CCF) if they believe their consumer rights provided under the law have been violated. This violation may include, for example, misleading representations, unfair business practices, defective or counterfeit products, or the use of unfair contract terms by a business.

Consumers may file a complaint through the CCF Complaint App, the CCF Website, or in person at the CCF's head office.

Upon receiving and reviewing the complaint, the CCF has discretion to further investigate the matter and take appropriate enforcement action in accordance with the law.
