📢 Sok Siphana Sethalay (in association with Kinstellar Southeast Asia) is proud to have acted as Cambodian counsel to CJ CheilJedang Corporation in connection with the USD854 million sale of its global feed and livestock business across Vietnam, Indonesia, the Philippines, Cambodia, and Korea to Royal De Heus.

The transaction represents a major cross-border agribusiness transaction in Southeast Asia and reflects continued strategic consolidation in the region’s feed and livestock sector.

Our firm advised CJ CheilJedang Corporation on all Cambodian law aspects of the transaction, including the review of the master share purchase agreement, Cambodian merger control analysis, Cambodian share transfer, and the coordination of transaction closing and related regulatory matters.

The Ministry of Economy and Finance has issued Prakas No. 122 (January 2026), granting tax incentives to registered tourism sector enterprises—including hotels, guesthouses, restaurants, and travel agencies—operating in Siem Reap Province.

🗝️ 𝗞𝗲𝘆 𝗶𝗻𝗰𝗲𝗻𝘁𝗶𝘃𝗲𝘀:
✅ Exemption from all monthly taxes (except VAT and Accommodation Tax) for 2026
✅ 2026 prepaid income tax allowed as tax credit against 2027 liability
✅ No tax audit for the 2026 tax year

🗂️ 𝗢𝗻𝗴𝗼𝗶𝗻𝗴 𝗼𝗯𝗹𝗶𝗴𝗮𝘁𝗶𝗼𝗻𝘀:
• Medium & Large taxpayers must e-file monthly and annual returns via the GDT’s system
• Small taxpayers must file according to GDT’s instructions or via the GDT Tax Prefiling App
• All taxpayers must maintain proper accounting and business records in line with tax laws

𝗦𝗼𝗸 𝗦𝗶𝗽𝗵𝗮𝗻𝗮 𝗦𝗲𝘁𝗵𝗮𝗹𝗮𝘆 𝗧𝗮𝘅 𝗕𝗿𝗶𝗲𝗳 – 𝗖𝗮𝗽𝗶𝘁𝗮𝗹 𝗚𝗮𝗶𝗻𝘀 𝗧𝗮𝘅 (𝗖𝗚𝗧) 𝗘𝘅𝗲𝗺𝗽𝘁𝗶𝗼𝗻 𝗳𝗼𝗿 𝗦𝗲𝗰𝘂𝗿𝗶𝘁𝗶𝗲𝘀 𝗣𝗿𝗼𝗱𝘂𝗰𝘁𝘀

On 19 February 2026, SERC announced that the MEF has approved a 𝗖𝗮𝗽𝗶𝘁𝗮𝗹 𝗚𝗮𝗶𝗻𝘀 𝗧𝗮𝘅 𝗲𝘅𝗲𝗺𝗽𝘁𝗶𝗼𝗻 for qualifying securities products, while the implementation of CGT for other securities is deferred pending further regulations.

🗝️ 𝗞𝗲𝘆 𝗽𝗼𝗶𝗻𝘁𝘀:
✅ CGT exemption applies to both resident and non‑resident public investors
✅ Covers equity, debt, CIS units, derivatives, and other SERC‑approved financial products
✅ Securities companies licensed or recognized by SERC fall within the scope
❌ CGT for non‑qualifying securities remains deferred until new regulations are issued

✅ Clear requirements for using “Holding” or “Group” in company names
✅ Mandatory online registration of corporate changes
✅ New notarisation requirements on corporate documents for legal entity shareholders
✅ Stricter ADCE compliance and inactive status consequences
✅ Mandatory appointment of accredited Company Secretary within 3 months of incorporation
✅ Formal complaint mechanisms with the MOC
❌ Non-compliance may result in fines, restrictions on corporate actions, or company inactivity status
