امانة المحامي في القانون العراقي

السرية المهنية: يُعتبر الحفاظ على الأسرار التي يؤتمن عليها المحامي أو التي يعرفها من خلال ممارسة مهنته جزءًا أساسيًا من الواجبات المهنية للمحامي. هذا يعني أنه لا يُسمح للمحامي بالكشف عن أي معلومات سرية تتعلق بالعميل، حتى بعد انتهاء العلاقة القانونية بينهما، إلا في حالات استثنائية مثل منع ارتكاب جريمة.

الشهادة ضد الموكل: يُحظر على المحامي أن يقدم شهادة ضد موكله في القضية التي يمثله فيها. هذا يعزز مبدأ الولاء للموكل ويحمي العلاقة بين المحامي والعميل.

الإدلاء بالشهادة في نزاع معين: لا يُسمح بتكليف المحامي بالإدلاء بشهادة في قضية كان قد تم توكيله فيها أو استشار فيها. هذا يضمن عدم وجود تضارب في المصالح ويحافظ على النزاهة المهنية للمحامي.
هذه القواعد مصممة لحماية الثقة بين المحامي والعميل ولضمان أن يتمكن المحامون من أداء واجباتهم بأمانة ودون تعارض مصالح.

The Lawyer’s Integrity

Professional Confidentiality: Maintaining the secrets entrusted to an attorney or those known through the practice of their profession is a fundamental part of an attorney’s professional duties. This means that an attorney is not allowed to disclose any confidential information related to the client, even after the legal relationship between them has ended, except in exceptional cases such as preventing the commission of a crime.

Testifying Against a Client: An attorney is prohibited from testifying against their client in the case they are representing. This reinforces the principle of loyalty to the client and protects the relationship between the attorney and the client.

Testifying in a Specific Dispute: An attorney is not allowed to be compelled to testify in a case where they have been retained or consulted. This ensures there is no conflict of interest and maintains the professional integrity of the attorney.

These rules are designed to protect the trust between the lawyer and the client and to ensure that lawyers can perform their duties honestly and without a conflict of interest.

المادة 1 من قانون الشركات رقم 21 لسنة 1997 المعدل:

تنظيم الشركات: يشير هذا البند إلى وضع قواعد وإجراءات لكيفية تأسيس الشركات وإدارتها وتشغيلها بطريقة منظمة وفعالة.
حماية الدائنين من الاحتيال: يهدف هذا البند إلى وضع آليات لضمان أن الشركات لا تستخدم أساليب مضللة أو غير قانونية قد تضر بالأشخاص أو الكيانات التي تقدم لها القروض أو التمويل.
حماية حاملي الأسهم من تضارب المصالح وسوء التصرف: يتعلق هذا البند بحماية مصالح المستثمرين في الشركات من أي تضارب قد ينشأ بين مصالحهم ومصالح مسؤولي الشركة أو المالكين الرئيسيين أو الأشخاص الذين لديهم السيطرة الفعلية على الشركة.
تعزيز توفير المعلومات الكاملة للملاك: يركز هذا البند على ضمان حصول الملاك على معلومات شفافة وكاملة حول القرارات التي قد تؤثر على استثماراتهم وعلى الشركة بشكل عام، مما يساعد في اتخاذ قرارات مستنيرة.
بشكل عام، تهدف هذه المادة إلى إنشاء بيئة قانونية تضمن الشفافية والنزاهة في الأعمال التجارية وتوفر حماية لجميع الأطراف المعنية بالشركات.

Article 1 of the Companies Law No. 21 of 1997 as amended:

Company Regulation: This clause refers to establishing rules and procedures for how companies are founded, managed, and operated in an organized and effective manner.

Protection of Creditors from Fraud: This clause aims to create mechanisms to ensure that companies do not employ deceptive or illegal methods that could harm individuals or entities providing loans or financing.

Protection of Shareholders from Conflicts of Interest and Misconduct: This clause is concerned with protecting investors’ interests in companies from any potential conflicts that may arise between their interests and those of the company officials, principal owners, or individuals who have actual control over the company.

Enhancement of Full Information Provision to Owners: This clause focuses on ensuring that owners receive transparent and complete information regarding decisions that may impact their investments and the company at large, aiding in making informed decisions.

Overall, this article aims to establish a legal environment that ensures transparency and integrity in business practices and provides protection for all parties involved with companies.
