MCA Updates | Companies (CSR Policy) Amendment Rules, 2026
The Ministry of Corporate Affairs has notified a significant amendment to the CSR Rules via G.S.R. 415(E) dated 27 May 2026.
Companies can now implement CSR activities through Zero Coupon Zero Principal (ZCZP) Instruments — securities issued by NPOs registered on SEBI's Social Stock Exchange.
What this means for you:
• Up to 10% of your annual CSR budget can be deployed via ZCZP instruments
• No impact assessment obligation for ZCZP-funded projects
• The NPO must complete the project within 3 financial years
• Unspent amounts on de-listing go to Schedule VII funds
This amendment bridges SEBI's Social Stock Exchange framework with the Companies Act CSR regime — bringing greater transparency and regulatory oversight to social spending.
