Ministry of Corporate Affairs vide its notification dated 6th September, 2017 has delegated the powers and functions vested under section 66 of the Companies Act, 2013 to the Regional Directors at Mumbai, Kolkata, Chennai, New Delhi, Ahmedabad, Hyderabad and Shillong.

Section 66(2) pertaining to Reduction of Share Capital reads as follows:

“The Tribunal shall give notice of every application made to it under sub-section (1) to the Central Government, Registrar and to the Securities and Exchange Board, in the case of listed companies, and the creditors of the company and shall take into consideration the representations, if any, made to it by that Government, Registrar, the Securities and Exchange Board and the creditors within a period of three months from the date of receipt of the notice.”

Impact of the notification dated 6th September, 2017:

The Central Government, in exercise of its powers under section 458 of the Companies Act, 2013, has delegated to the Regional Directors at Mumbai, Kolkata, Chennai, New Delhi, Ahmedabad, Hyderabad and Shillong, the powers and functions vested in it under subsection (2) of section 66 of the said Act.

However, Central Government may revoke such delegation of powers or may itself exercise the powers under the said sub-section, if in its opinion such a course of action is necessary in the public intrest.

NEW OPPORTUNITY FOR CS....

MCA through its notification date 9th Sept, 2016 came out with new rules called Companies (Mediation and Conciliation) Rules, 2016. The Company Secretary who wishes to be empanelled as Mediator or Conciliator shall apply to RD in Form MDC-1. The best part of it is, the mediator shall not be bound by the century old Act (Indian Evidence Act, 1872 or Code of Civil Procedure, 1908) while disposing the matter, but shall be guided by principles of FAIRNESS & NATURAL JUSTICE. The main motive is to resolve the dispute among the parties amicably

Third Party Certification has been recognized by the Labour Department, Haryana Government.

It aims to simplify the business regulations (Ease of Doing Business), to facilitate the entrepreneurs for making the compliance of the provisions of the various *Labour Laws and Rules framed thereunder* and to curtail the unnecessary visits of inspecting officers.

*Such certification will be permissible only by a Company Secretary in practice* who has not been an employee or on the regular pay role of the establishment or has not been a consultant of the Company for the last three years.

*The units which submit third party certification regularly on annual basis shall not be inspected through the random list of inspections.* Such units will be inspected only in the event of serious complaints or unrest etc.

The Practicing Company Secretary shall play the role of Compliance Auditor under this scheme.
