COMPANIES FRESH START SCHEME, 2020

1. The Ministry vide Circular No. 11/2020 dated 24/03/2020 in order to facilitate companies to make a fresh start launched the Companies Fresh Start Scheme, 2020 (CFSS, 2020) which is applicable from 1st April, 2020 to 30th September, 2020.

2. In this scheme all the defaulting companies will be provided a one-time opportunity to complete all the pending compliances by filing necessary documents with the MCA-21 registry including annual fillings on the payment of normal fees only i.e., without any additional fees.

3. The scheme condoning the delay in filling the various forms with the ROC, in so far it is related to:
(a). charging of ADDITIONAL FEES,
(b). granting of immunity from launching of PROSECUTION, or
(c). proceedings fir imposing PENALTY on account of delay associated with fillings.

MCA has notified the provisions related to Takeover offer for private and unlisted public companies under Companies Act, 2013, w.e.f. 3rd February, 2020, wherein an application for Takeover offer can be made to NCLT by member(s) of the company holding at least 3/4th of the shares of the company with intent to acquire any part of the remaining shares of the company.
