Thrilled to share a significant achievement from one of my recent matters before the Hon’ble ACJM (Special Acts), Central, Tis Hazari Courts.

In the case titled ROC vs. Merit Estates and Builders Pvt. Ltd., presided over by Ms. Arjinder Kaur, ACJM (Special Acts), our team successfully secured a major relief for our clients in proceedings under Section 96 read with Section 99 of the Companies Act, 2013.

Despite the court recording that a prima facie offence was made out, we advanced detailed arguments on:
🔹 Non-maintainability of the ROC notice,
🔹 Absence of any willful default,
🔹 Substantial compliance, and
🔹 Lack of fraudulent intent,

which played a crucial role in persuading the court to take a lenient view on sentencing.

💼 Outcome:
The statutory penalty, which typically extends up to ₹1,00,000 per accused, was successfully reduced to ₹10,000 each — a 90% reduction.

This order reflects the strength of our submissions, clarity of legal strategy, and our commitment to safeguarding the interests of our clients under the Companies Act, 2013.
