Appellant is engaged in providing services relating to repair and maintenance of software. They contracted QAD IPL to provide manpower to perform maintenance services on hire. Q: Is an agreement for service provided w.r.t. maintenance of a software, a simplicitor contract for service & not a works or a composite contract?

Held: The intellectual property rights in the software application from the very beginning was the exclusive property of QAD and appellant has no ownership rights on the same at any point of time. Therefore, if no goods are available in the hands of the appellant that can be transferred no sale can be said to have taken place. The Appellant is merely providing manpower service on which VAT cannot be levied.
