In this video, we explain the latest 2026 Landmark Judgment related to Sale Deed, Consideration & Section 54 of the Transfer of Property Act, 1882.

🔹 WHAT IS “CONSIDERATION” UNDER SECTION 54 TPA?

Section 54 of the Transfer of Property Act defines “Sale” as a transfer of ownership in exchange for a price paid, promised, or partly paid and partly promised. The most essential ingredient of a valid Sale Deed is lawful consideration. If a registered Sale Deed mentions that the payment has already been made, but in reality no payment was passed, then such transaction can be declared void in the eyes of law. Recent Supreme Court and High Court judgments clarified that once a Sale Deed is executed and registered, parties cannot later rely upon oral agreements or unofficial arrangements regarding consideration amount. Courts are now strictly examining whether actual payment was made according to the recital mentioned in the Sale Deed itself. If consideration fails, even transfer of title and possession can become legally questionable under Section 54 TPA.
