The Ministry of Corporate Affairs (MCA) has announced the setup of 03 new Regional Directorates (RDs) and 06 new Registrar of Companies (ROCs) to improve corporate compliance and faster services across India.

*MCA Relaxation for Filing of Form CRA-4 (FY 2024–25)*

The Ministry of Corporate Affairs (MCA), through General Circular No. 07/2025 dated 27 October 2025, has provided relaxation from payment of additional fees for filing Form CRA-4 (Cost Audit Report in XBRL format) for the financial year ending 31 March 2025.

📌 Reason for Relaxation:
Deployment of the revised CRA-4 form on the MCA V3 portal.

📅 Key Timeline:

No additional fees will be charged for CRA-4 filings up to 31 December 2025.

*Filings after 31 December 2025 will attract normal and additional fees as per:*

Companies (Registration Offices and Fees) Rules, 2014, and Rule 6(6) of the Companies (Cost Records and Audit) Rules,

Annual Filing Deadline Extended to 31st December 2025 – No Additional Fees

The Ministry of Corporate Affairs (MCA) has rolled out a much-awaited relief in view of the recent deployment of revised annual filing e-Forms (MGT-7, MGT-7A, AOC-4 and related variants including CFS, NBFC, Ind AS & XBRL) on the MCA-21 V3 portal.

Key Highlights of the General Circular:

1. Companies can now file their annual returns and financial statements for FY 2024-25 up to 31st December 2025 without payment of additional fees.
2. This relaxation has been provided to allow familiarisation with the new e-form structure and filing process.
3. No extension in AGM timelines – Companies must still comply with statutory AGM due dates. Non-adherence will continue to attract legal consequences under the Act.
4. Any filings beyond the relaxation window will attract normal and additional fees as per the Companies (Registration Offices and Fees) Rules, 2014.

Important Update on Annual Filing Requirements – Registered Office Compliance:-

As per the latest amendment introduced by the Ministry of Corporate Affairs (MCA) in the structure of annual filing forms, all Companies/Body Corporates are now mandatorily required to attach photographs of their Registered Office. These photographs must clearly display a flex board/signage containing the following details:

Name of the Company
Registered Office Address
E-mail ID
Phone Number
CIN (Corporate Identification Number)
GST Number (if applicable)
In view of this requirement, it is strongly advised that:

If your Registered Office is currently located at a place that is:

Uninhabited,
Not actively used, or
Not maintained in accordance with the provisions of the Companies Act, 2013,
then you must initiate the process to shift the Registered Office to a proper, functional and accessible location.

This ensures compliance during any future inspections by the MCA or other regulatory authorities, where the presence of a proper and compliant board at the Registered Office will be verified.

Please take necessary steps at the earliest to avoid non-compliance and penalties under the Companies Act, 2013.

Also please share the photograph of the RO along with the geotagging on or before the Financial Statements.

🚨 Important MCA Compliance Update – Effective 14 July 2025 🚨

As per the latest amendment by the Ministry of Corporate Affairs, Form ADT-1 is now mandatorily required to be filed even for the appointment of the first auditor under Section 139(1) of the Companies Act, 2013.

📌 Applicability:
This applies to all companies incorporated on or after July 14, 2025.

📌 Timeline for Filing:
Form ADT-1 must be filed within 15 days from the date of Board resolution for the appointment of the first auditor.

⏰ Non-compliance may lead to penalties, so please ensure timely filing.
