KEY CHANGES IN THE COMPANIES (AMENDMENT) ACT, 2019

1. Section 26- Matters to be stated in prospectus

The requirement of registration of prospectus to be replaced with filing of prospectus with the Registrar.

2. Section 29 - Public offer of securities to be in dematerialised form

Private companies have been included in the ambit of section 29, so mandatory demat provisions may be made applicable on private companies aswell by changes in rules.

3. Section 35- Civil liability for mis-statements in prospectus

The copy of the prospectus shall be filed with the Registrar instead of delivery for registration.

4. Section 90- Register of significant beneficial owners in a company

The company shall take necessary steps to identify an individual who is a SBO. Failure to take necessary steps shall be punishable.

Sub-section (9A) inserted to provide the power to the Central Government to make rules for the purposes of this section.

5. Section 132- Constitution of National Financial Reporting Authority

NFRA to perform its functions through such divisions as may be prescribed by the Central Government.

Executive body of NFRA shall consist of the Chairperson and full-time Members for efficient discharge of its certain functions.

Debarring of the member or firm by NFRA in case professional or other misconduct is proved.

6. Section 135- Corporate Social Responsibility

Unspent amounts to be carried forward to a special account (Unspent CSR Account) to be spent within three financial years and transfer thereafter to the Fund specified in Schedule VII, in case of an ongoing project.

Unspent amounts to the Fund specified under Schedule VII, in other cases.

Penal provisions inserted. The company shall be punishable with fine which shall not be less than Rs. 50,000 but which may extend to Rs. 25 lakh and every officer of such company who is in default shall be punishable with imprisonment for a term which may extend to 3 years or with fine which shall not be less than Rs. 50,000 but which may extend to Rs. 5 lakh, or with both.

MCA empowered to give general or special directions to a company or class of companies as it considers necessary to ensure compliance of provisions of this section.

7. Section 212- Investigation into affairs of Company by Serious Fraud Investigation Office

Any officer not below the rank of Assistant Director of Serious Fraud Investigation Office (SFIO), if so authorised, may arrest any person in accordance with the provisions of this section.

The person so arrested may be taken to a Special Court or Judicial Magistrate or Metropolitan Magistrate within 24 hours of his arrest.

Where an investigation report submitted by SFIO states that a fraud has taken place and any director, KMP or officer has taken undue advantage or benefit, then the Central Government may file an application before the Tribunal with regard to disgorgement and such director, KMP or officer may be held personally liable without any limitation of liability.

8. Section 241- Application to Tribunal for relief in cases of oppression, etc.

CG to prescribe such company or class of companies in respect of which, applications under such sub-section, shall be made before the Principal Bench of NCLT and shall be dealt with by such Bench.

In certain circumstances, the CG may refer the matter and request to the Tribunal to inquire into the case and record a decision about whether the person is a fit and proper person to hold the office of director or any other office connected with the conduct and management of any company.

9. Section 242- Powers of Tribunal

In matters under section 241, the Tribunal shall record its decision stating specifically as to whether or not the respondent is a fit and proper person to hold the office of director or any other office connected with the conduct and management of any company.

10. Section 243- Consequence of termination or modification of certain agreements

The person who is not a fit and proper person pursuant to section 242 shall not hold the office of a director or any other office connected with the conduct and management of the affairs of any company for a period of five years from the date of the decision of the Tribunal.

CG may, with the leave of the Tribunal, permit such person to hold any such office before the expiry of the said period of five years.

The person so removed from the office of a director or any other office connected with the conduct and management of the affairs of the company shall not be entitled to, or be paid, any compensation for the loss or termination of office.

11. Section 272- Power of Court to stay or restrain proceedings

Registrar allowed to present a petition of winding up on the ground that it is just and equitable to do so under clause (e) of section 271.

12. Section 398- Provisions relating to filing of applications, documents, inspection, etc., in electronic form

Prospectus not required to be registered by the Registrar.

MISTAKES TO AVOID IN YOUR FIRST YEAR AS A STARTUP FOUNDER

FALLING INTO THE NEGATIVITY TRAP

The first year is hard and full of uncertainty. You'll be surrounded by naysayers. From raising capital to getting your first customers, everything can be an uphill battle. Every once in a while you'll doubt your probability of success, and you may even doubt yourself. It's almost inevitable.
This happened to me for a short period, and I wasn't even aware of it. I was seeing things through a negative prism. The facts hadn't changed, only my attitude. Once I realized what was happening, I began taking steps to snap out of it.
There is simply no upside in drowning in doubt and focusing on the negatives. It achieves nothing. Instead, be optimistic and remember why you started your venture. Focus on your mission because that's your north star. Wake up every morning and tell yourself you're going to create new opportunities.
Be positive, smile and enjoy the journey. Even the hard knocks.

GETTING SENTIMENTAL

Along the journey, you'll discover that you invested in the wrong things. Sometimes even in the wrong people. You made the best decisions, or educated guesses, at the time. But the market has since hit you between the eyes with the truth. You guessed wrong.
It's hard to change course, especially when the path you chose made so much sense at the time. It's even harder when relationships are at stake. But if something isn't working, you need to be ruthless and make the necessary changes.

NOT ASKING FOR HELP

There is no place for pride in the startup journey. Even with the best help in the world, the odds are stacked against you. Knowing when to ask for help is a skill in itself. As founders, it's our job to know what we're lacking and source the necessary ingredients from elsewhere. It can be as small as asking a question, as as big as appointing and advisor or consultant.

NOT BEING IMPACTFUL

I reached a point where I was spending too much time on non-core activities. The administrative burden grew and grew, and before long I was spending hours on internal tasks every day. This took me away from the market and prevented me doing high-impact activities. In short, I wasn't helping my company as much as I could.

MICROMANAGING

Founders are used to doing everything. That's what it's like in the beginning. When the team grows it's often hard to let go. The excuses are enervating and never-ending. "Nobody can do it as well as I can" was my mantra. But if you hold onto everything, you won't ever be able to scale.
There comes a time when a founder needs to shift from doing to mentoring. In practice, this means giving people direction and feedback, not doing their job for them. It also means understanding, and accepting, that things won't be done in exactly the way you used to do them yourself. It's a challenge at first, but when you finally do let go you'll feel great. Your team won't let you down, and you'll have more freedom.

BE YOURSELF, LEARN FROM OTHERS

Perhaps the hardest part about being a founder is the need to constantly reinvent yourself. Good founders adapt when things change. Sometimes it's the market that changes, sometimes it's your company and sometimes it's your mindset. The most important thing is to recognize that change is required, and act. That's the skill want to get really good at.

WAYS TO TURN YOUR HOME OFFICE INTO A DISTRACTION-FREE ZONE

1) ONLY USE THE HOME OFFICE FOR WORK.

When you go to your office, you should be entering a completely different environment -- one that you associate with work. Sitting on your couch isn’t going to cut it. (This will also hurt your back and rear-end.)
Set yourself up with a different computer than you use for non-work stuff. If possible, have a completely separate room set up as your office and only use it for work.
Create a work-centered environment so that every time you sit down at your computer, you’re already thinking about working -- not about checking your social media or playing Hearthstone..

2) SET A SCHEDULE.

Just as you need a physical space devoted to work, you need a space of time that’s devoted to work. Working from home means you never quite leave the office behind, and if you aren’t careful, the lines between work time and personal or family time can get blurred.
If you want to get maximum productivity, make sure that you carve out space for work and stick to a set schedule.
That doesn’t have to be eight to five office hours. In fact, it probably shouldn’t be.
Especially if you have kids, the most distraction-free time is likely to be either early morning or late evening. Whether you’re a night owl or an early bird, having that quieter, more productive time to yourself can be the difference between a productive day and a non-productive one.

3) MAKE SURE THE KIDS (AND OTHERS) HAVE GROUND RULES.

If you have children, you know already what a distraction they can be. That’s multiplied by a lot when you’re working from home. If the kids are around, make sure there are some ground rules in place so that they know you’re working and not to disturb you.
Some parents will put up a sign when they don’t want to be bothered. Some will close the door.
Whatever path you take, make sure that the kids know: when you’re there in your office, you’re working, and only to be bothered with emergencies. Make sure you set time to come out of your office and interact with them -- they’re less likely to bother you if they know you’re coming out eventually.

4) INVEST IN YOUR OFFICE.

Nothing is more distracting than having to deal with technology issues or things that you don’t have on hand. Stopping your work to drive to a print shop, go buy paper, or deal with a balky computer is both frustrating and productivity-sapping.
Make sure you’ve invested in setting up your home office the same way you’d set up your office in a workplace. Have everything on hand that you need, and make sure it’s up to date and in working order—because having to jury-rig without the right equipment available, or deal with problematic old tech, is a major distraction.

5) STAY ON TASK AND OFF EMAIL.

We’ve all done it. Work for five minutes, see an email come in, tab over and read it -- maybe quickly answer it -- then take several minutes to get back to the task at hand.
That’s not the way to be productive.
When you’re working, make sure that you’re staying on task by turning off your notifications. Don’t leave them on for your phone or computer -- email, social, anything. Then have set times during the day where you read and answer emails.
It may seem like you’re being less productive -- but batching your communications all at once -- helps you save time and stay invested in whatever you’re currently working on. Batching is also a well-known growth hacking tool for businesses. It takes longer than you think to get back to task after you’ve gotten out of the mindset.

6) MAKE SURE YOU SOCIALIZE.

No man (or woman) is an island, to paraphrase John Donne -- and you’re no different. Without getting some time around other people, you’ll probably go a little stir-crazy, and that sets you up to be distracted.

7) TAKE BREAKS.

Working straight through isn’t actually the best option, as research has shown over the last several years. A study conducted a few years ago by DeskTime indicated that the most productive interval was 52 minutes of work interrupted by 17 minutes of break.
This doesn’t mean you need to get out a stopwatch. But you should build in time away from work -- you’ll be less likely to get distracted and more productive with your time.
The home office can be great for entrepreneurs, but you have to make sure that you’re set up for success. Use these tips to propel yourself to even greater productivity and supercharge your home office.

HOW LEADERS CAN MAKE SURE ALL EMPLOYEES ARE HEARD

When holding a meeting, you want all of the participants to feel welcomed and heard. Not only does this help everyone give their opinions and ideas, it grows the connections between coworkers and colleagues.
However, it may seem hard to make sure everyone is heard, especially in meetings with a larger number of people, or a meeting with introverted or remote participants.
If you’re ready to make sure everyone is heard during your meetings, here are six tips that will help.

1. HAVE FEWER MEETINGS OR MAKE THEM SMALLER.

It’s harder to hear 50 voices in a one hour meeting than it is to hear 10. By organizing smaller meetings, you can give more people the opportunity to speak without adding time to the meeting or cutting anyone off.
This is also an effective move to make if you have introverted or shy employees. They may feel more comfortable speaking in front of a smaller group of participants than in a larger group.
If you have a bigger team and still want to set up smaller gatherings -- try to keep from holding too many meetings. According to a recent survey from wireless presentation company Barco, 59 percent of employees feel less engaged when they have to attend multiple meetings every week.

2. COMMUNICATE AHEAD OF TIME.

Let your team know the meeting agenda ahead of time to encourage thoughts and ideas to flow before you all talk together. It doesn’t have to be a detailed agenda, but just an email or sheet of paper giving a general idea of what you want to discuss in the meeting. Not only does this give them time to develop their own talking points, but it also keeps you from having to fill awkward silences or interrupt a long monologue by someone who keeps talking.
In the agenda, it’s also a good idea to add in a blurb saying you’d like for everyone to participate and that you want to make sure no view goes unexpressed. That way, you’re team understands that this meeting isn’t just for you to speak, but for all of the team to give their input as well.

3. ASK FOR FEEDBACK.

One of the best ways to communicate is to ask open-ended questions. Request feedback on the latest project, role, or product. Have a discussion about what you’re looking for or what your participants need to accomplish during a task or project. This increases the odds that more people will voice their opinion and not stay silent.
One effective way to do this is by asking a question and going “around the table” or having everyone chime in one by one until everyone has been heard.

4. USE THE RIGHT TOOLS.

If you hold meetings virtually, or have remote team members, use tools that can allow each person the option to participate at their convenience. Using a tool like GoWall or GoToMeeting gives your remote participants the ability to “speak up” without feeling hidden behind their phones or computers.
GoWall gives everyone access to a digital note wall where people can post ideas. Any employee can like or comment on a note in real time, letting you see if they’re participating, even if they aren’t speaking. This can be done anonymously, so attendees can feel more confident in voicing their opinions without judgement.

5. ASSIGN ROLES.

This may be a bit easier when you have a smaller meeting, but assigning roles is another solid way to make sure everyone is heard. You can assign a role to each attendee for each topic or subject you have in the agenda.
For example, one person can be the main speaker while discussing the first item on the agenda. Another person can chime in during the next. While you can still ask for input from any attendee at any time, assigning roles to specific topics ensures that a greater percentage of participants get a chance to speak.

6. ASK FOR NO INTERRUPTIONS.

At the beginning of the meeting, it can be beneficial to let everyone know that it’s vital to give every single team member the opportunity to speak. This means that if someone is talking -- no one should interrupt them.

HSN Code

HSN code or Harmonized System Nomenclature code number is an internationally adopted commodity description and coding system developed by the World Customs Organization (WCO). HSN code is used by more than 200 countries as a basis for their customs tariffs. Currently, over 98% of the merchandise in international trade is classified under HSN code. With the HSN code acting as a universal classification for goods, the Indian Government has decided to adopt the use of HSN code for classification of goods under GST and levy of GST.
HSN Code 2017 Edition is the currently valid version applied in international trade transactions. Prior to the implementation of the HSN Code- 2017 Edition, HSN Code - 2012 Edition was applied in all international trade transactions. The HSN Codes are first classified into sections, chapters, contains the six-digit codes of the Harmonized System. To look up a HSN code you can use the HSN code finder or drill-down from Section to Chapter to the HSN Code.

SAC Code

SAC Code or Services Accounting Code is a classification system for services developed by the Service Tax Department of India. Using SAC code, the GST rates for services are fixed in five slabs namely 0%, 5%, 12%, 18% and 28%. If a service is not exempted from GST or if the GST rates are not provided, then the default GST rate for services of 18% would be applicable.

SUSTAINABLE FINANCE SCHEME
SMALL INDUSTRIES DEVELOPMENT BANK OF INDIA (SIDBI)

SIDBI has introduced a new scheme called the Sustainable Finance Scheme for funding sustainable development projects that contribute energy efficiency and cleaner production but not covered under the international or bilateral lines of credit. All sustainable development projects such as renewable energy projects, Bureau of Energy Efficiency (BEE) star rating, green microfinance, green buildings and eco-friendly labelling, etc. are applicable for the scope of this scheme.

OBJECTIVE OF THE SCHEME

The following are the main goals of the Sustainable Finance Scheme.
• According to the definition laid down by the MSMED Act 2006, new/ existing MSME units would be eligible for assistance under the scheme.
• Existing units must have a satisfactory track record of the past performance and sound financial position and should not be in default to institutions/ banks
• The units should have a minimum credit rating of investment grade or its equivalent according to the internal credit rating model.
• Renewable energy projects such as solar power plants, wind energy generators, mini hydel power projects, biomass gasifier power plants, etc. for captive/ non-captive use.
• Any potenatial CP investments that include waste management
• Suitable assistance to OEMs that manufacture energy efficient/ cleaner production/ green machinery/ equipment. Further, the OEM has to be an MSME, or it has to supply its products to a substantial number of MSMEs
SCHEME OVERVIEW
The scheme develops the entire value chain of energy efficiency (EE)/ cleaner production (CP) and sustainable development projects that lead to necessary improvements in EE/ CP/ sustainable development in the MSMEs that presently not covered under the viable financing lines of credit.

RATE OF INTEREST

The rate of interest applicable would be the standard lending rate by the credit rating of MSMEs.

ELIGIBILITY CRITERIA
The acceptable standards for this scheme are as follows
• Renewable energy projects like solar power plants, wind energy generators, mini hydel power projects, biomass gasifier power plants, etc. for captive/ non-captive
• Any potential CP investments that include waste management
• Suitable assistance to OEMs that manufactures energy efficient/ cleaner production/ green machinery/ equipment. Either the OEM has to bean MSME, or it has to be supplying its products to a substantial number of MSMEs

FISCAL INCENTIVES

Suitable assistance using term loan or working capital is granted to the ESCOs that implements EE/ CP/ Renewable Energy Project. To be eligible for this grant, the ESCO must be an MSME or otherwise the unit to which it renders its services has to be an MSME.

SINGLE POINT REGISTRATION SCHEME
MINISTRY OF MICRO SMALL & MEDIUM ENTERPRISES

The Government is the single largest buyer of a variety of goods. With a view to increase the share of purchases from the small-scale sector, the Government Stores Purchase Programme was launched in 1955-56. NSIC registers Micro & small Enterprises (MSEs) under Single Point Registration scheme (SPRS) for participation in Government Purchases.
BENEFITS OF SINGLE POINT REGISTRATION SCHEME

ELIGIBILITY
• WHO CAN APPLY
• All Micro & Small Enterprises having EM Part-II (Optional)/ Udyog Aadhaar Memorandum (UAM) are eligible for registration with NSIC under its Single Point Registration Scheme (SPRS).
• Micro & Small Enterprises who have already commenced their commercial production but not completed one year of existence.
HOW TO APPLY
1. Micro & Small Enterprises may fill up 'Point of Interest' form available at our website www.nsicspronline.com or on the prescribed application form (in duplicate) either to be downloaded from website or avail from NSIC offices along-with requisite fee and documents to the Zonal/Branch/Sub Branch and Sub Office/Extension office of NSIC situated nearest to their location.
2. Duplicate copy of the G.P. Registration Application Form submitted by the Micro & Small Enterprise will be forwarded to the concerned Inspecting agency along with copies of required documents and requisite Proof of inspection charges remitted in favor of concerned Inspection Agency requesting for carrying out the Technical Inspection of Micro & Small Enterprise and forward their recommendations in this regard.
3. After receiving Inspection Report, NSIC will issue the SPRS Registration Certificate to Micro & Small Enterprise for items/stores as recommended.
4. REGISTRATION FEE:The registration Fee is based on the Net Sales Turnover as per latest audited Balance Sheet of the Micro & Small Enterprise for the Registration, Renewal and any other amendment etc. For detailed fee structure please see the Document section. The Registration Fee is mentioned in the Document section is excluding the Inspection charges. For details of inspecting agencies and their fee please see the Document section.
5. List of Empanelled Inspection Agencies with complete Fees structure can be downloaded from below DOCUMENTS section under link "List of Empanelled Agencies along with Inspection Fees"

VALIDITY PERIOD OF SINGLE POINT REGISTRATION

1. The Registration Certificate granted to the Micro & Small Enterprise under Single Point Registration Scheme (Revised), 2003 is valid for Two Years and will be reviewed and renewed after every two years by verifying continuous Commercial and Technical Competence of the registered Micro & Small Enterprise in manufacturing / producing the stores for which it has been registered by NSIC.
2. The Provisional Registration Certificate can be issued to those Micro & Small Enterprises under Single Point Registration scheme with monitory limit of Rs. 5.00 Lacs which shall be valid for the period of one year who have already commenced their commercial production but not completed one year of existence

STAND-UP INDIA FOR FINANCING SC/ST AND/OR WOMEN ENTREPRENEURS

SMALL INDUSTRIES DEVELOPMENT BANK OF INDIA (SIDBI)

Stand Up India Scheme facilitate bank loans between 10 lakh and 1 crore to atleast one scheduled caste (SC) or Scehduled Tribe, borrower and atleast one women per bank branch for setting up a greenfield enterprise. This enterprise may be in manufacturing, services or the trading sector. In case of non-individual enterprises at least 51% of the shareholding and controlling stake should be held by either an SC/ST or Woman entrepreneur.

ELIGIBILITY

1. SC/ST and/or women entrepreneurs; above 18 years of age
2. Loans under the scheme is available for only greenfield project. GreenField signifies, in this context, the first time venture of the benefeciary in the manufacturing or services or trading sector
3. In case of non-individual enterprises,51% of the shareholding and controlling stakes should be held by either SC/ST and/or Women Entrepreneur
4. Borrower should not be in default to any bank or financial institution

PROCEDURE TO APPLY ONLINE

The scheme which covers all branches of Sceheduled Commercial Banks, will be accessed in three potential ways:
1. Directly at a Bank Branch
2. Through SIDBI Stand-Up India Portal (www.standupmitra.in)
3. Through the Lead District Manager

HOW TO AVAIL STAND UP INDIA SCHEME

1. Through stand up India Portal provides information to a potential borrower on various kinds of handholding support from different agencies and also provides a window to get in touch with banks to avail loans
2. The applicant first click to "Register" and answer to few short questions on the Registration page of the portal
3. Based on the response, the Applicant would be classified as the "Trainee Borrower" or"Ready Borrower". Applicant would also be given feedback on his/her eligibility for stand-up India loan
4. A trainee borrower/ready borrower may then chose to register andlogin througgh the portal
5. Upon logging through the portal, the borrower is taken to a dashboard
