Can transfer restrictions of private companies remain , post Demat?
In India, demat is being mandated for private company shares, thus the transfer restrictions imposed by the Articles of Associates and enabling free , which is never intended. To prevent this malice, the Board of directors should take adequate to guard the transfer restrictions by enabling "Frozen for Debit" instruction, as soon as ISIN is created. The Ministry of Corporate Affairs (MCA) should frame adequate to protect the of transfer restrictions in a private company by creating "Transfer Window", similar to the SEBI regulations on "Trading Window".
