This is one of the most common phrases in conveyancing… but also the most misunderstood 🏡

So let’s decode it.

Exchange of Contracts is the point where the transaction becomes legally binding.

Up until exchange, either side can still pull out.

Once contracts are exchanged, both buyer and seller are committed to the move, and the completion date is usually fixed 👍

Why does that matter?

Because a lot of people feel like things are certain much earlier than they actually are 👀

- You might have had your offer accepted.
- You might have done the survey.
- You might even be talking about removals already.

But until exchange happens, it is not legally locked in ❌

That’s why we’re always careful about managing expectations at each stage and explaining when something is agreed in principle… versus when it is legally committed.

It’s also why we usually say: don’t book anything major too early.

Legal jargon can make the moving process feel more intimidating than it needs to.

That’s exactly why we do these posts. To make it clearer, calmer, and easier to understand 💜

👀 Sometimes, the reason a property chain slows down comes down to one line in a legal document…

We’re seeing more transactions where a Deed of Variation is needed before a sale can move forward.

This often comes up where there are:

📌 Estate rentcharges
📌 Section 121 issues
📌 Or missing mortgagee protection clauses

In simple terms, some wording can give third parties strong enforcement rights. If a lender isn’t comfortable with that, the documents may need to be updated before the transaction can progress.

That means we may need to:

✅ Review the wording carefully
✅ Agree an acceptable change
✅ Put a Deed of Variation in place
✅ Manage expectations across the chain while it’s being sorted
✅ Then get it registered with the Land Registry as quickly as possible

Why does this matter👇

Because if it isn’t picked up early, it can add time, cause confusion, and leave buyers and sellers wondering why things have suddenly slowed down.

Which is exactly why choosing the right solicitor to support your move matters.
