A contractor agreement cannot turn an employee into a contractor.

For employment rights in Great Britain, the real picture is more complicated than contractor vs employee: a person may be an employee, a worker or genuinely self-employed, while tax status is a separate UK analysis and Northern Ireland has a separate employment-law framework.

Before choosing the contract, founders should examine how the relationship actually operates. If status is genuinely uncertain, get legal advice before relying on a contractor agreement.

Employment status and tax status are related—but they are not the same legal question.

For employment rights in Great Britain, a person may be an employee, a worker or genuinely self-employed. HMRC’s tax-status analysis is separate, and a tax result does not automatically settle employment-law status.

That is why founders should avoid treating one label—or one test—as the answer to everything.

A contractor label is evidence—but it does not decide employment status.

For Great Britain employment-rights purposes, the real relationship matters: who controls the work, whether personal service is required, whether substitution is genuine, how integrated the person is into the business and whether they operate independently.

Classify the relationship first. Choose the document second.

A founder agreement should cover much more than the initial equity split.

The practical checklist includes roles and time commitment, equity and vesting expectations, leaver mechanics, reserved matters and deadlock, intellectual property, share transfers, funding and exit.

Some of those decisions may also need implementation through company documents, approvals or tax steps outside the agreement itself.

We have refreshed our UK Founder Agreement guide around that checklist.

A useful founders’ agreement starts with decisions the founders actually need to make.

StartWise® guides users through document-specific questions before generating a tailored first draft and Drafting Notes.

Depending on the arrangement, those questions can include roles and commitment, equity expectations, leavers, decision-making and intellectual property.

If you are drafting more than one document for the same business, repeating the same basic company details every time adds friction.

StartWise lets you save business information in a reusable profile and use it where relevant when drafting different documents.

You still answer document-specific guided questions, but you can spend more time on what changes from document to document.

Why can two documents with the same title cost very different amounts?

Because the real work may be very different. Cost can change with the complexity of the deal, how much negotiation is involved, whether bespoke drafting is needed, and whether the matter raises legal or regulatory issues that need closer attention.

The document name tells you only part of the story.
